Proposed Changes to the Constitut ion Friday 20 November 2015 AAPBS Annual Meeting, Phuket, Thailand

Changes to the Constitution …  This year AAPBS is proposing to make changes to its Constitution  The changes are necessary for AAPBS to move forward, to ensure the Association’s sustainability and to support our strategic plans for membership and value  In accordance with the Association’s current Constitution and as detailed in the “Notice to AAPBS members” dated August 2015, the AAPBS Executive and Council propose the following key changes to the Constitution: 2

Key Proposed Changes … 3 1 Formalise the normal and automatic annual increase of $50 USD to annual dues 2 Formalise Distinguished Fellows 3 Allow the President to serve a Presidential term of more than 1 consecutive year 4 Increase Council membership from 20 to 22 representative institutions 5 Formalise the active role of a Council member 6 Allow amendments to the Constitution to be formally voted in at meetings other than the Annual Meeting 7 Change the commencement of the term for Executive Committee members from the calendar year (i.e. January to December) to one year (or two years depending on their position) immediately following their election at the Annual Meeting or from the first day of the Association’s financial year (i.e. from October 1) 8 Clarification on the role of the “Immediate Past President” 9 Clarification on the role and the term of the “Executive Director” 10 Miscellaneous changes (i.e. general punctuation, grammatical and formatting amendments)

18 th November 2015 Council Amendments…  Council have endorsed the proposed changes subject to the following amendments:  Proposed change #1 - Keep existing wording for annual dues – USD amount of dues will be reviewed annually by Council.  Change to voting format – Full members will be asked to vote on one motion for all OR each of the proposed changes. 4

Voting format …  There will be one vote per Full Member institution on one motion in respect of all of the proposed changes to the Constitution OR for each of the proposed changes  If two-thirds of Full Members ARE present today … By paper ballot  If two-thirds of Full Members ARE NOT present today … By immediately following the Annual Meeting today PLEASE NOTE: If AAPBS does not hear from members in 10 working days from the date of the , we will assume they have approved the changes to the AAPBS Constitution as proposed 5

Next steps … To support the changes approved by members and from 1 January 2016 …  Administration processes – new and revised  New and revised administrative processes and documentation will be put in place, and  All member communications will be updated (AAPBS website, AAPBS brochure, AAPBS PowerPoint presentation)  Distribution of the new Constitution to members  Copies of the new Constitution will be distributed to members as soon as it’s available 6
