CLWII Homeowners Association Agenda/Meeting Minutes, March 5, 2013 Directors in Attendance: K. Brown, L. Lee, M. Ritchie, E. Ruegg, K. Payne H/O in attendance: 20 Guests: (Ottenad & Willson) Meeting held at Manchester Police Facility Meeting called to order at 7:05 p.m. and adjourned at 8:25 p.m. 1. Proof of Notice of Meeting 2. Reading of minutes of preceding meeting (March, 2012). Lynn Lee read the minutes of the 2012 corporate meeting. Minutes were accepted and approved. 2012 Accomplishments Common Ground – Cleaned up common ground area east of Huntington View, north side of Big Bend Pool – Contracted for construction of 2 new lifeguard stands. Also moved “Z” pool stand location. No violations were issued by St. Louis County at our pools for the entire 2012 season. Clubhouse – Installed front porch awning. Completed Great Room remodel and purchase of furniture. Resurfaced parking lot. 6 6

-Financial Update - A financial overview was given by Treasurer, Mike Ritchie. He reviewed CLWII’s income and expenses and detailed the financial management and the budget processes for the upcoming year. Type/Activity Explanation Operating Inc. Establish tennis court repair account with $15,000-$20,000 from checking account Add $2,485 from $5.00 increase in 2013 assessment per household to the TC acct. At end of 2013 add any additional monies of Income-Expense to the TC account. Establish a TC Committee to determin costs of repair.

5. Reports of Committees: Architectural Control Committee -Joel Kray, Chairperson, thanked all the members of the ACC for their hours spent in reviewing and approving homeowner remodeling and replacement requests. Members include Karen Kenny, Eric Nestel, Mary Dippold, and Kathy Rayfield. -55 applications were submitted in 2012 with a total of 69 applications approved. Letters written to homeowners regarding compliant colors on cedar terrace homes. Approvals consisted of: 33 color samples, with 7 colors denied; 9 siding projects (2 T1-11, 2 cement/fiber, 5 LP SmartSide); 7 doors painted; 12 decks either replaced, torn down or repaired; 6 doors, 4 windows, 1 gutter; 6 special projects (5 approved, 1 not approved). Subdivision now furnishing a 1’x1’ siding sample for submission of paint color for approval. -A reminder was given about trim painting on cedar terrace homes -An additional reminder was given to the benefits for getting approval of projects before any external remodeling work is done. -Age of cedar terrace homes will cause an increase in upkeep at the years progress.

Election of Directors Keith Brown elected as trustee and corporate director/1st VP– Term expires 11/2015 Eric Ruegg elected as trustee and corporate director/President– Term expires 1/2016 Mike Ritchie elected as trustee and corporate director/Treasurer– Term expires 1/2016 Ken Payne elected as trustee and corporate director/2nd VP– Term expires 1/2016 Lynn Lee, current trustee with title change to corporate director/Secretary—Term expires 4/2014

7. Unfinished/New Business: Establish Tennis Court Repair Account Establish a Tennis Court Committee to Determine the Cost to Repair the Courts-Volunteers requested Install audio System at Clubhouse for Rental Use and For Pool Patrons Simple Repair Work at Clubhouse Channel B-$300,000 appropriated by City of Manchester for engineering study. North section first, South section second. Updates to follow. Lawsuit Update A recap was given of milestones from 2005 through 2011 plus appeals activity during The appeal was dismissed in Dec. of 2012 thus ending the lawsuit. Costs of the suit were $97,000 of which CLW II paid $18,000 & Travelers paid $79,000.

Had common ground area near Country Stone Ct. surveyed to resolve disputed property lines. Had more posts placed along Country Stone Dr. to help thwart driving on common ground in winter.

Bought Additional & Replacement Pool Furniture-Chairs, Lounges, Side Tables, Umbrellas No violations issued by St. Louis County at our pools for the entire 2013 swim season

Established Tennis Court Repair Fund of $22,413.97 Bundled communications services, added U-verse TV with wireless set-top box, increased broadband to 6Mb with AT&T and reduced overall costs. Had tulips planted for curb appeal in the Spring 6 Mb Office Pool check-in Wireless Set top box

Architectural Control Committee Summary of 2013-continued Effective 2011, the ACC required paint samples on a one foot square of material as on the home or to be used on the home. Indentures require wood tones of tan, brown, cedar, or shades of gray, but not another color with a little gray mixed in. The subdivision furnished the one foot square siding material on request. 30 30

Architectural Control Committee Summary of 2013-continued ACC Plans For 2014 Continue to remind homeowners that any trim around windows and doors cannot be painted white or black. Horizontal and corner trim must be the same color as the home. Homes are getting older and in need of more upkeep There are more home repair and improvement projects to review every year Help preserve our neighborhood 31 31

Architectural Control Committee Summary of 2013-continued ACC Plans For 2014-continued Reminder to ALL Residents of Countrylane Woods II A Review for Architectural Control Should be Completed for Any Exterior Home Repair or Improvement Project except planting trees and shrubs This process is in place to prevent homeowners from making mistakes that may end up costing them time and money. Please request permission in advance. Projects done in violation of the subdivision indentures will need to be redone at the homeowner’s expense. 32 32
