13 NASCIO Guidance IT Procurement Reform Committee The IT Procurement Reform Committee is charged with increasing the value NASCIO members receive from IT procurements and improving the overall procurement process. The committee will provide recommendations and guidance on IT procurement best practices, focusing on specific topics such as IT contract terms, aggregated purchasing, and value and performance-based contracting. The committee will serve as a point of coordination with the federal government and other governmental and private sector entities interested in IT procurement issues. The committee will also identify emerging trends and issues in state IT procurement and develop issue briefs and related research materials as appropriate.

15 NASCIO Guidance Impact of Terms and Conditions on IT Information Technology Procurement represents some of the largest and most complex initiatives. Liability (risk) can be significant The work product has value and its ownership an use is a factor in attracting bidders and the ultimate cost

16 NASCIO Guidance NASCIO and NASPO Approach NASCIO surveys vendors and states to determine most significant impediments to fair contracting Prioritizes key issues to Limits of Liability and Intellectual Property Rights Invites NASPO to partner and includes ITAA, GSA and vendor community to participate

17 NASCIO Guidance Limits of Liability - Recommendations Deal with it up front, in the procurement process Hold vendors accountable for direct damages Exclude third party damages (generally indirect) if possible Limit liability to a factor of the value of the contract – amounts in excess of two time contract value appear to limit competition

18 NASCIO Guidance Limits of Liability - Other Key Thoughts Copyright infringement should not be limited Bodily injury and death are not limited A fair deal keeps the “partners” in the relationship and driving for success Vendors, understand state limitations Both sides should seek legal advice in the contract development phase

19 NASCIO Guidance Intellectual Property Ownership Intellectual Property has real value –Vendors covet the end product and the tools used to develop them –States may believe that ownership is the most appropriate solution for them

20 NASCIO Guidance Intellectual Property Ownership Intellectual Property considerations/recommendations –Determine appropriate type of ownership desired by State entity Consider licensing options Vendors be as flexible as you can –Consider Escrow for licensed products to provide assurances in all circumstances –Issues must be addressed up front. Ask questions-reach common understanding
