7 New Governance Model Status

8 Organizational Structure
Board of Trustees Executive Nominating Audit Finance Council Nominating Compensation Board Directed Committees Investment Council of Directors RSAC TAC FIAC Forums Committee Committee 2 Committee N Region 1 TG 1 FIG 1 SciTech Subcom 2.1 The proposed governance model establishes a strategic, forward looking Board. A deliberative body to guide and shape the vision, strategy and initiatives. They will use disciplined process to turn ideas into implementable projects and impose accountability to measure success or failure of initiatives. Those metrics will be used to adjust the trajectory of the committees as necessary. The Council of Directors maintains the important structure we currently have where elected representatives continue to work and guide their communities and provide input at a strategic level. The current Board does the down and in operational and tactical maintenance of the Institute well. They just don’t have the time nor capacity to also shoulder the strategic goal setting that we are missing. The Council provides the vehicle, very similar to our existing structure, for the Board to stay in touch with the membership and take their views, their inputs and their opinions into account. The proposed Council also allows member to expand their involvement in the AIAA by simplifying the creation of new communities. (Open positions announced) Open chair positions for Board-directed Committees are filled by Board appointments.
