Confidential & Proprietary. 4 American Express ® OnePoint Program Overview American Express wants to increase its acceptance among small to mid-size merchants by providing them integrated and competitive servicing and processing. First Data and their clients will provide full processing services for American Express Card transactions for merchants processing up to $500K in annual American Express® Charge Volume. First Data and their clients are responsible for end to end servicing of the merchant.

New Merchant not accepting Amex signed to one point If merchant does not qualify for OnePoint due to volume restriction (greater than $500K annual AMEX volume) the merchant is directed to have a processing relationship with AMEX. Any existing One Point merchant signed by FD ISO for OnePoint. Any existing ESA merchant signed by ISO to OnePoint Program.

Confidential & Proprietary. 12 Exclusions from the OnePoint Program –Excluded from the OnePoint program: –Merchants processing, or estimated to process above $500,000 in American Express® Charge Volume (Call Amex at to set up) –All franchises are restricted from this program and should be signed as ESA / Pass through –Restricted MCC codes (Includes Petroleum and Telecommunication merchants such as cell phone carriers/stores.) –All Franchise Merchants –Merchants using non-certified VARS or Third Party software »Note: Must auth and settle to First Data. Can NOT split dial –Merchants with a mix of compatible and non-compatible terminals and software (Sign under ESA / Pass Through if all are not compatible for OnePoint) –Current merchants within the ISO’s portfolio processing under the ESA Program –Merchants located in US virgin Islands, and other US territories

Confidential & Proprietary. 16 Pricing Changes AMEX “OnePoint” – Discount Rate and Transaction Fee The Discount Rate and the Transaction Fee pricing are dictated by AMEX and are not negotiable by merchant. This pricing is based on the merchant MCC (or SIC) and MUST match AMEX pricing per the AMEX QRC (Quick Reference Card), or the Account will be REJECTED from boarding and will go back to the agent for correction. The American Express® pricing is the same for every processor The American Express® OnePoint discount rate and transaction fee are “passed-through”, from AMEX to FDIS, to the merchant.

Confidential & Proprietary. 17 Pricing Changes Authorization Fee for American Express® – The Authorization Fee for American Express must be less than or equal to the Authorization Fee for MasterCard/Visa/Discover Network. Split Dial is not supported since both the authorization and settlement must come through First Data
