Tanner Hall POA Special Meeting

Meeting Agenda Call to order. Where we are now Presentation of the process Discussion of the role of the board in the association and how the slate was selected. Floor open for member questions of potential board members Each member will have a maximum of one minute to ask questions about the board selection process or make comments, about this process. Motion for a vote Presentation of the next steps. Adjournment

Common Questions How much does this place cost to run? Will my dues increase? Where has all the money gone? What about the roads? What about all the people that haven’t paid their dues? I hear there is a lawsuit, what is that all about? When is the fountain going to be fixed?

Where are we now? Non-developers own 104 of the 118 lots The legal battle over developer rights

Why will this work NOW? South Carolina Code Section 33-31-702 allows members to call meetings Request to the board or declarant to call the meeting must be signed by 5% of the membership The declarant has 30 days to call the meeting or one of the signing members can call it. Request was received on July 10th No action was taken so the meeting was called by the signatures.

Notification Members were notified by email first Those that didn’t respond received paper notices Via mail to non-resident owners Hand delivered to resident owners Reasonable steps were taken to notify All residents at least 7 days before this meeting

Transitional Board’s Role Establish processes and procedures Provide short and long term direction and planning Advocate in the best interest of Association Establish transparency in process and financial transactions Prepare for an Annual Meeting to be Held in February 2016, when the first Board will be elected.

Declaration Requirements Section 5.4 “The association shall elect officers and directors annually. Officers will consist of not less that a President, Vice President, Treasurer, and Secretary. There shall be at least three (3) board members in addition to the officers. Officers hall be elected at the annual meeting by vote of duly notified Lot Owners in Attendance at the meeting.”
