13. Response Contract Scope
Mitchell Technology Group, LLC, will assume full responsibility for complying with requirements set forth in the Vendor Resource Pool for Equipment/Off the Shelf Software RFP.
Mitchell Technology Group, LLC, whose authorized agents are set forth in this proposal, will be the sole contact in regard to contractual matters and payment of any and all charges resulting from contract obligations.
Ledelle Mitchell will perform the duties of dedicated Account Manager for Mitchell Technology Group, LLC, to service ACS/City of Memphis vendor account. The vendor site location will be located at:

14. Mitchell Technology Group, LLC
Mitchell Technology Group, LLC, shall abide by contract terms set forth in contract initiated by ACS after review and acceptance.
All services pursuant to the vendor agreement with ACS will be performed by authorized agents of Mitchell Technology Group, LLC, and will not be subcontracted to another entity without the express written consent of the City of Memphis.
All services will be available immediately upon contract award.
Vendor Requirements
Vendor will comply with specifications, requirements, standards and representations set forth in the Order Letter/Purchase Order based on availability of stated product or service.
Mitchell Technology Group, LLC, will ship all goods via company-selected courier.

15. Mitchell Technology Group, LLC
Mitchell Technology Group, LLC, will provide estimated time of arrival for purchased equipment to ACS Purchasing within 3 business days.
All goods provided by Mitchell Technology Group, LLC, shall be provided based on availability of requested product and shall be uniform in appearance and in accordance with generally applicable standards in the industry.
In the event that warranty repairs are needed on equipment purchased on Order Letter, Mitchell Technology Group, LLC, will provide assistance within 1 business day of notification.
Vendor Qualifications
Mitchell Technology Group, LLC, is in compliance with all City of Memphis, Shelby County and Tennessee licensing, bond and insurance requirements.

16. Mitchell Technology Group, LLC
Indemnification
Mitchell Technology Group, LLC, shall indemnify and save harmless ACS and the City of Memphis from actions or omissions of Mitchell Technology Group, LLC, in connection with this agreement, except to the extent that such claims arose out of the wrongful acts or omission by ACS or the City of Memphis.
