2 February 2008 5 2007 Report Investigated the present Bylaws Territory is changed from Australia, New Zealand, Asia and related islands to Asia, Australia, New Zealand, and related islands in the 2007 R10 Meeting and then approved by RAB Found that Change in 2003 had not been deeply discussed in neither ExCom nor R10 Meetings but Approved by RAB Proportional Voting part was removed No expense spent

2 February 2008 6 Bylaws Change in 2003 Structure and function of Nominations Committee Other modifications to improve clarity and readability The drafter did not attend the Region 10 Meeting and other modifications were not discussed assuming they are changes in wording Amendment approved at the Region 10 Meeting in October 2003 (the Meeting was originally planned for April 2003 but postponed to October 2003 because of SARS outbreak) Approved by RAB in November 2003

2 February 2008 7 Bylaws Change in 2003 Deleted sentence In the event of a dissent, a motion will not be carried if the dissenting members collectively represent more than 40 percent of the voting membership in the Region represented in the meeting, as based on the statistics of 31 December of the previous year. Last used probably in 1996

2 February 2008 8 Motion 1 Confirm the removal the following sentence from 5.3 5.3 Regional Committee Meeting In the event of a dissent, a motion will not be carried if the dissenting members collectively represent more than 40 percent of the voting membership in the Region represented in the meeting, as based on the statistics of 31 December of the previous year.

Study on Budget Approval Processes Region 3: Treasurer prepares the budget with the assistance of the Finance Committee and the budget is approved by the Region 3 Executive Committee. Region 5: Budget is prepared by the Treasurer and approved by the Region 5 Committee. Region 6: Budget Committee prepares a preliminary budget, which is approved by Fall ExCom Meeting for the first half year. Regional Committee approves the budget, revised by the budget committee if necessary. Region 7: Approval by the fall meeting, and final approval by the board at its fall meeting. Region 8: Treasurer prepares the budget. Region 10: An annual budget of expected income and expenditures shall be prepared by the Treasurer and approved by the Director 2 February 2008 9

Functions of Region Committees IEEE Bylaws does not define the functions of Region Committees MGA OpsManual Section 9.1F Each Region shall have a Region Committee (or Board of Governors), organized and operated in accordance with its Region Bylaws that are responsive to the particular needs of the Region. The Region Committee shall participate generally in the development of the IEEE through recommendations to the IEEE Board of Directors and/or the IEEE Executive Committee and to the Sections within the Region. Region 10 Bylaws 5.2 The Regional Committee makes recommendations on Regional policies, Regional organizations and operations, and changes thereof, to the Regional Activities Board, via the Regional Director, for approval before implementation. 2 February 2008 11

2 February 2008 12 Motion 2 Modify 5.2 as. 5.2 Function The Region Committee Meeting shall be the highest governing body of the IEEE Region 10. The Regional Committee makes recommendations on Regional policies, Regional organizations and operations, and changes thereof, to the Regional Activities Board, via the Regional Director, for approval before implementation.
