Powerful desktop e-contracting application Enables different sending processes Ad-hoc – send anything you can print to anyone, signature, initial, or data anywhere in the document. Template – send contracts that have contract execution workflow embedded Workgroup – all workers in a group share access to common contracts, contacts, and templates Speeds document preparation Can be used offline Integrates with Contact Address books Communicates with the DocuSign Secure API

10 DocuSign Professional

11 Signing Workflow Templates
A signing workflow template is a file that contains pre-set workflow and instructions about the signing process Who signs, Where they sign Where data is to be filled in Where the contract goes once signed Types of Templates “Pre-Tagged” - May contain the underlying document “Overlay” - May contain only signing instructions and be applied to documents Benefits Control over signing process execution Dramatically speeds repetitive or large document execution Eliminates sending errors

12 Document Transaction Packages
Send and sign multiple documents Replace documents in envelope Sign one, decline another Set expiration for documents Personal note to one signer Reassign, correct, void Adding ‘Approve’ task

13 True Form Filling Capability
Fill out on face of form, not before it is seen Support masking, tab order, and form controls such as drop-down, check box, and radio buttons Generates form data file XML which can be downloaded Most prominent use with Document Templates Eliminates need for DOSS to use custom HTML forms for customers 100% customer control

14 DocuSign eVaulting Service
Integration with eOriginal – a leader in the eVaulting solution market Enables the first seamless e-signature process creating a Transferable Record and Authoritative Copy as a web service Built into DocuSign electronic Process (UX or API), secured via X.509 PKI prior to eVaulting Contracts may be pooled, grouped, stored, or transferred to a customer’s own eVault Removes barriers to entry Begin to e-Vault transferable records within weeks, not months/years Compliant with Industry standards (ESIGN, UETA, UCC 9-105) Existing acceptance shortens legal review

15 How it works: Electronic execution & securitization
1 Originate > Transaction documents Execute > DocuSign e-Signature 2 Agency Close sale Originate via DocuSign As a Transferable Record Customers Adopt legally binding signature Review terms and agree Electronically bind signature 4 Securitize > Transferable Record Vault > electronic original 3 Documents are securely created, stored, accessed, transferred, traded and syndicated electronically. Enabling cryptography, private and public key infrastructure technologies, and the Trusted Custodial Utility environment, ensure security and validate authenticity. Our technology ensures the integrity and authenticity of Electronic Original® documents, providing versioning and audit capabilities with a legal and verifiable trail of evidence. eOriginal has transformed the costly and time-consuming paper process of leasing into a totally secure, economical, front-to-back electronic transaction. The end-to-end paper process, from origination to delivery and acceptance, can be accomplished at the speed of the Internet. Custodian Manages document lifecycle Pools negotiable instruments Responds to audit Close out instrument Integration Automated process creates Authoritative Copy Watermarks all copy docs Confidential & Proprietary

16 Future Capabilities – 2007 (not public)
Integration of NNA’s Electronic Notary Service into DocuSign process (It is possible to use the ENS with DocuSign today, but not as integrated as it will be in Q4.) Placement of ‘notary required’ signatures Seamless, controlled eNotary of any document ENS integrated into a ‘Notary Account’ Document collection from signers as part of the ‘package’ Enables companies to collect documents as well as get signatures. Support for alternative authentication and security tools Embedded PKI support Additional Authentication options

17 Summary DocuSign is investing to set the standard for ‘business class’ eContracting – nobody can do what we do. DocuSign is not just e-signature, it is a complete e-contracting workflow management system. A core advantage is that the entire process is defined via XML which can use as much or as little of the services as needed to execute the transaction Over the next 12 mos, announcements will evidence both our leadership, and the growth of this market.

18 Thank you!

19 High Level eSignature Methods Compared
Esign Web Service(DocuSign) Uses centralized server, 100% audit control, zero software/hardware requirement PKI – Digital Certificates Uses distributed documents Requires certificates and software Digitized Signatures Uses hardware devices to capture handwriting

20 ESIGN Web Service is a complete process
PKI and Digitizers are only a part of the necessary solution DocuSign provides the whole solution

21 Our View – New ESIGN Web Services (EWS) Drives Faster Adoption
PKI Digitizers 1996 2000 2003 2008
