2 Avoiding Antitrust Violations
Key Concepts Prohibits any kind of contract, combination or conspiracy in the restraint of trade. A trade association is liable under the antitrust laws for the conduct of its volunteer members when those members are acting with the “apparent” authority of the association (U.S. Supreme Court). Topics that should NEVER be discussed include: Price-fixing -Members from different brokerages should never discuss commission rates charged to clients -Discussion of a commission split between a listing broker and selling broker in a cooperative sale is acceptable -Discussion of client commission rates between a broker and their own salespeople as a matter of office policy is acceptable Market Allocation -Cannot agree to not compete in specific market areas GRAR Education. 4 Avoiding Antitrust Violations
Topics that should NEVER be discussed include: Group Boycott -Cannot make agreements among brokers and/or association members to withhold support in an effort to force a vendor to comply with certain demands or requests to change a policy -An example of an illegal boycott would be where brokers collectively reduce advertising, or refuse to advertise altogether unless and until the newspaper lowers its advertising prices Tie-in Arrangements -Cannot make a provision of services contingent upon the purchase of other unrelated services or products GRAR Education. GRAR Director Attend, and participate in, all GRAR Board Meetings Attend all major events of the association Participate in association strategic planning activities Attend the NYSAR-sponsored Professional Standards training at least every other year during your term on the Board Understand and acknowledge that as a director you owe fiduciary responsibility to GRAR, not the brokerage firm with which you are affiliated Keep all matters discussed by the GRAR Board confidential GRAR Education. GRAR Committee Chair Run well-organized and effective meetings Utilize the Committee Resource Page on grar.org Motivate, encourage, and engage committee members to fulfill the committee’s purpose Keep the GRAR Board informed on committee activities, including posting meeting notes for the GRAR Board Work together with your staff liaison to manage the committee Participate in association strategic planning activities GRAR Education. General Stay up to date on industry news, trends, and opportunities Represent GRAR at community events from time to time Help identify potential volunteers and future leaders of the association Act as an advocate for GRAR at local, state and national meetings Spread awareness of the REALTORS® Charitable Foundation and REALTORS® Political Action Committee (RPAC) GRAR Education.
