0 Windows 8 Licensing Overview
Hello, my name is <Name>. I’m eager to talk to you today about Windows 8 Pro for your business.

1 Agenda The Windows 8 offerings Software Assurance for Windows 8
Licensing flexible workstyle scenarios Step Up to Windows 8 Promotion We’ll start by taking a look at the different editions and channel availability for Windows 8. Then we’ll go through the various offering within volume licensing including what’s new with Software Assurance and how these updates enable the flexible workstyles of today. And finally we’ll cover Enterprise Sideloading for new, touch-centric, Windows 8 apps.

2 Windows 8 and Windows RT editions and availability
OEM – PC Preinstall Windows RT Windows 8 Windows 8 Pro Full Packaged Product (FPP) Windows 8 Windows 8 Pro We primarily sell Windows through 3 different channels. OEM which is typically for PCs preinstalled with Windows, FPP or retail boxed software, and for commercial customers purchasing five or more licenses there is Volume Licensing. With Windows 8 we have greatly simplified the sku lineup – offering a total of 4 editions across the channels The first is Windows RT. Windoows RT is for ARM powered devices and will only be available pre-installed on PCs or tablets through our OEM channel. The second is Windows 8. Windows 8 will primarily be a consumer offering and will be available only through OEM and FPP The third is Windows 8 Pro. Windows 8 Pro is for small and medium sized business and will be made available through all three channels. And the fourth is Windows 8 Enterprise. Windows 8 Enterprise is for large or enterprise sized customers and will be offered exclusively through Volume Licensing. Volume Licensing Windows 8 Pro Windows 8 Enterprise

3 An edition for every customer
FPP Volume Licensing Upgrade Existing PC We just covered the editions and channel availability for Windows 8 and Windows RT, now let’s review at a high level how these map to the various customer segments. Windows 8 will primarily be for general consumers whereas Windows 8 Pro will be appropriate for students, enthusiasts, and small businesses of less than five. The hero offering is Windows 8 Enterprise through Software Assurance which will be the right edition for commercial customers of all sizes depending on their needs and sophistication level. There are two ways to upgrade to Windows 8 <Click> Either on an existing PC through FPP for consumers or Volume Licensing for commercial customers. Or with a new PC through OEM. Customers who want to run Enterprise Edition can add Software Assurance through Volume Licensing on top of the OEM license that came with their PC. And finally we see Windows RT, which is only available preinstalled through OEM, as an edition that spans all customer segments as it is ready for both work and life. 4 Microsoft Office365 4/11/2018 FPP Students & Enthusiast Home Office 1-5 Consumers, enthusiasts, < 5 small business looking to upgrade existing PCs with a prior version of Windows Consumer Simplified Offerings Let’s take a look at how Windows 8 will be offered through FPP. FPP is intended for people that want to upgrade their PC from Windows XP, Windows Vista or Windows 7 and the typical customer purchasing through FPP will be consumers, enthusiasts, or small businesses with less than five seats. One of the key learnings we took from Windows 7 and other previous versions was that a vast majority of customers needed one of only two skus. We found that a multi-edition lineup, combined with both full and upgrade offerings presented customers with too many choices, driving them to either overbuy or in some cases simply walk away. With Windows 8 we are simplifying things and as a result FPP will come in two editions and as upgrades only, Windows 8 and Windows 8 Pro. This will streamline purchase decisions and help ensure customers receive the right edition for their needs. There are certain scenarios where a full license will be required, so next we’ll cover how we made some updates to the system builder product to enable these scenarios. 2 boxes on the shelf Upgrade licenses only Available at retail and through ESD Oct 26, 2012 (GA) Jan 31, 2013 © 2012 Microsoft Corporation. 5 Windows 8 System Builder Product and the Personal Use License
Primarily for System Builders reselling PCs preinstalled with Windows under COEM License – no change from Windows 7 Also can now be used under the Personal Use License for DIY and enthusiast scenarios Personal Use License COEM License: For Windows 8 the system builder product will continue to primarily be used by system builders on PCs for resale under the COEM License, however we have also expanded the licensing terms to enable do it yourself (DIY) or enthusiast scenarios that full FPP would previously have been used for. Personal Use License: As an alternative to system builder use on PCs for resale, individuals can purchase the system builder product and accept a separate set of terms and conditions under the Personal Use License. The rights provided under the Personal Use License include virtualization, dual-booting and do-it-yourself rights for the small number of enthusiasts who are building a PC or need to run Windows either in a virtual machine or under dual boot on a second partition. The Personal Use License is not to be used as an upgrade license, for legalization, or for commercial use on more than 5 PCs. FPP, Get Genuine programs, and Volume Licensing would be the appropriate vehicles respectively. We view system builder product as a white box, behind the counter SKU and the 2D system builder packaging reflects that intention as assorting this product on shelf will confuse customers and eliminate the simplicity of upgrading through FPP. Regardless of whether system builder product is used under the COEM License or the new Personal Use License, it will not include free support from Microsoft. DIY: As a primary OS for individuals building their own PCs Enthusiast Scenarios: Running Windows in a local VM or second partition Assorted behind the counter and online, not on shelf Not for upgrades, legalization, or commercial use for > 5 Microsoft support not included

6 Windows 8 – How to Buy Summary
Purpose Primary Scenarios Notes OEM New PC Preinstalled Customer purchases new PC with Windows preinstalled from PC manufacturer (OEM) The easiest and most cost-effective way to get genuine Windows on a PC is to buy it pre-installed on a new PC New PC FPP Upgrade Upgrade existing PC < 5 Consumer upgrading from Windows XP or Windows 7 Simplified offerings: upgrade only Upgrade Existing PC To summarize what we’ve just covered here we provide an overview of the different channels and primary purpose of each. The main takeaway here is that a vast majority of licensing needs are met through one of the three channels you see above the line; OEM on a new PC, FPP for consumer upgrades on existing Windows PCs, and Volume Licensing for commercial upgrades and/or Software Assurance on existing PCs. Other scenarios such as DIY are covered through the new Personal Use License with the system builder product, and customers needing to move from a non-genuine to genuine version of Windows can do so through one of our consumer or commercial legalization offerings. VL Upgrade and SA Upgrade existing PC > 5 to Pro or Enterprise Commercial upgrading from Windows XP or Windows 7 Requires a qualifying OS (professional version of Windows) Personal use for System Builder product Requires Pre-existing OS: (if Windows must be genuine) Not for legalization Not for commercial use > 5 Personal Use License Consumer/Enthusiast Do it yourself Run a local VM Primary OS in build your own PC, run Windows in a local VM, or run Windows in a second partition DIY / Other Non Genuine Legalization Move from non-genuine version of Windows to genuine version of Windows Consumer: GGW (esd) and GGK Commercial – VL solutions: GGWA-SMO, GGWA-LO, GGWA-A Legalization Offerings

8 Key benefits of Volume Licensing
The most cost effective way to keep PCs current with the latest version of Windows Access to enterprise grade solutions only available through Volume Licensing Greatest flexibility for how Windows is deployed in an organization Key benefits of Volume Licensing Before we dive into Volume Licensing let’s take a look at some of the key benefits of purchasing through this channel. First is cost savings. Volume licensing is the most cost effective way for commercial customers to purchase Windows Volume Licensing also provides access to products not available in other channels – for example Windows 8 Enterprise Edition which is not available through our OEM or FPP channels And finally through Volume Licensing, customers have different rights and product use terms than those that come with an OEM or FPP license.

9 Windows offerings through Volume Licensing
Pro Windows VDA Windows Intune As mentioned both Windows 8 Pro and Windows 8 Enterprise edition will both be made available through Volume Licensing, but there are a few other key offerings to be aware of. The Windows VDA license as well as Windows Intune, the Microsoft Desktop Optimization Pack or MDOP, and the Windows Companion Subscription License or Windows CSL will all also be offered through Volume Licensing And because Windows 8 Enterprise, MDOP, and the Windows CSL are available through Software Assurance we’ll cover the licensing for SA as well We’ll go through these offerings in greater detail but I wanted to provide this as a backdrop for the rest of our discussion. Available only with Software Assurance for Windows Windows 8 Enterprise Microsoft Desktop Optimization Pack (MDOP) Windows Companion Subscription License (CSL)

10 Windows 8 Pro in Volume Licensing
How to license Designed for small and medium businesses Windows 8 Pro in Volume Licensing is sold only as an upgrade Requires a qualified underlying operating system license (no change) Windows 8 Pro is available through all volume license programs Standalone upgrade licenses are available through Open License and Select Plus Software Assurance can be attached optionally for additional benefits More Control More Protected Domain Join Group Policy BitLocker BitLocker To Go Windows 8 Pro is designed for small and medium sized businesses as it provides greater control and better security through features such as Domain Join, Group Policy, and BitLocker. It also allows employees to stay more connected and productive through Remote Desktop, Offline Files, and integrated support for Mobile Broadband. Windows 8 Pro is sold only as an upgrade license in Volume Licensing and does require a qualifying underlying Operating System license, typically a professional version of Windows. This means that Windows 8 Pro will be primarily purchased in Volume Licensing by customers who are looking to move their existing PCs running either Windows XP Professional or Windows 7 Professional to Windows 8 Pro. And Software Assurance can be optionally attached for additional benefits and more flexible use rights – so let’s take a look at SA. In addition to new version rights, SA provides exclusive access to enterprise offerings such as Windows 8 Enterprise Edition and the Microsoft Desktop Optimization Pack. We also provide greater flexibility for how customers use Windows. SA has the broadest set of virtualization rights as well as a new use right called Windows To Go which allows employees to access a corporate image running Windows 8 Enterprise from a bootable USB. Roaming Rights have also been enhanced to provide greater flexibility for work at home or on the road scenarios and the Windows Companion Subscription License allows employees to run the corporate image across multiple devices specifically in Bring Your Own Device scenarios. 15 Agenda The Windows 8 offerings Software Assurance for Windows 8

16 Enabling flexible workstyles through SA
Peoples expectations Work from multiple devices Work from anywhere Use their personal devices for work Get access to apps and data from anywhere & any device The way that people work is changing They are working from everywhere – whether in the office, at home, or on the road They are working at all hours And they are working across multiple devices, many of which they own And these are healthy changes for our customers as it enables their employees to be more productive But this also creates a new opportunity to help customers navigate the challenges associated with new trends such as device proliferation and Consumerization of IT.

17 Enabling Flexible Workstyles Through SA
Unique access to Windows 8 Enterprise Virtualize, Manage, Restore with MDOP Work from any device with more Flexible Licensing Windows To Go Run a corporate Windows 8 environment securely on a USB stick from anywhere Microsoft User Experience Virtualization (UE-V) Change your device, keep your experience New New Windows To Go Use Rights DirectAccess Always connected to corporate networks, seamlessly and more securely Improved Microsoft Application Virtualization (App-V) Virtually any application, anywhere Improved Virtualization Rights BranchCache Users in the branch office can download documents and apps faster Improved And so how do we do that with Windows 8? We do so by having a value prop that supports this new flexible workstyle and enables new scenarios that customers have been struggling with If you look at the features in Enterprise Edition such as Windows To Go, DirectAccess, and enhanced VDI, or the new products in MDOP such as UE-V, all of these directly support this new flexible workstyle. But features and products can only help our customers in as much as our licensing allows. And so with Windows 8, we’ve designed SA for Windows in a way that provides additional flexibility for customers to use Windows in the way that makes sense for their business. Microsoft BitLocker Administration and Monitoring (MBAM) Simplified BitLocker management Companion Device Licensing Virtual Desktop Infrastructure (VDI) Improved end-user experience Improved Microsoft Advanced Group Policy Management (AGPM) Checkpoint your policy rollout, minimize downtime AppLocker Specify what software is allowed to run on a user's PCs Improved Enable BYOD Scenarios Enterprise Sideload W8 Apps Sideloading enabled for internal new Windows 8 apps Microsoft Diagnostics and Recovery Toolset (DaRT) Restore user productivity quickly New SA foundation Use rights, Technology, Support Microsoft Enterprise Desktop Virtualization (MED-V) Enable your XP apps on Windows 7 Solid business foundation in Windows 8 Pro

18 Key points of Windows 8 flexible licensing
Built upon existing SA model No new licensing requirements, price increases, or reduction in use rights Enhanced use rights for existing Windows SA and VDA licenses Introducing an optional companion subscription license for BYO scenarios We’ll take a look at a few scenarios that light up how this works, but before we do there are a couple of key points that are important to understand. First, as important as what has changed – is what hasn’t changed. With SA for Windows 8 we’ll pull forward all the use rights we had with Windows 7. This means there are no new license requirements, no price increases, and no takeaways. Second, we’ve included a new use rights in the existing licenses of SA and VDA. So with Windows 8 availability, existing customers with SA will automatically have new options for how they use Windows – with no new costs or extra licenses required And third, we are introducing a new optional Windows CSL to more simply and cost effectively license Bring Your Own Device scenarios

19 Expanded roaming rights for SA
Scenario: work from home or on the road SA for Windows 8 Primary User Corporate VDI OR Windows To Go Access SA for Windows License Roaming Rights Through SA for Windows Work PC Home PC Pre-Windows 8 Primary User Corporate VDI Access Here we have a company with a set of highly mobile employees whose primary work PC is licensed with SA, that they would also like to enable with desktop access while working outside of the office. As an SA benefit, Windows To Go may be run from any SA licensed device - but we’ve also expanded Roaming Rights to include Windows To Go. So this means that when working from their personal device while at home or on the road, the primary user of an SA or VDA licensed device can now access their desktop through either a VDI running in the corporate datacenter or Windows To Go running on a USB.  And with an internet connected device using Direct Access through Windows To Go, the user receives an experience that’s very similar to being in the office. Work PC Home PC SA for Windows License Roaming Rights Through SA for Windows Through enhancements in Roaming Rights with the inclusion of Windows To Go, employees can now work at home or on the road by accessing their full corporate desktop in a new way Key point

20 Windows CSL: Licensing Companion Devices
Scenario: Bring Your Own Companion Devices SA for Windows 8 Windows Companion Subscription License (CSL) add-on for four devices Windows SA License Companion Devices Primary Device User Pre-Windows 8 Companion Devices Windows VDA License SA License Primary Device User And in this last scenario, we’re introducing a new Windows Companion Subscription License which enables Bring Your Own Device scenarios and provides businesses with more flexibility to run Windows across multiple devices for their employees.   Employees bringing personally owned devices present a unique set of issues for IT as admins are often unaware of the types or number of devices that are coming in, making licensing compliance a problem. Further, prior to Windows 8, each device would have to be separately licensed making BYO scenarios cost prohibitive. The Windows CSL is an optional add-on for the primary user of an SA licensed device, and grants the rights to access a corporate desktop through VDI or Windows To Go on up to four companion devices.  Devices eligible for use under the Windows CSL include any type of personally owned device as well as corporate owned non-x86 devices.    The CSL costs less than licensing a single device under Windows VDA and because it covers multiple devices, the CSL makes licensing Bring Your Own Device scenarios simpler and more cost effective for customers.  For example, a company with an EA covering 5,000 PCs wants to enable 1,000 of their employees whose primary device is licensed with SA as part of the 5,000, to also be able to bring personal devices from home to access their corporate desktop using either Windows To Go or VDI.  These users might bring two or three different devices into work, but because the CSL covers multiple devices, the company only needs to purchase 1,000 CSL licenses.  Additionally because the CSL will cost less than a single VDA license, this scenario can now be enabled with fewer licenses and at a lower cost per license, meaning real savings for the customer. And IT knows that they are compliant regardless of what types of devices their employees are bringing so long each employee brings no more than 4 devices to work. Avail 10/1 Select Plus, EA, EES The Windows CSL provides employees whose primary device is licensed with SA the rights to access a corporate desktop either through a VDI or WTG on up to four personally owned devices. The CSL covers multiple devices making it a simpler and more cost effective option as opposed to separately licensing each device for Bring Your Own Device (BYOD) scenarios. Key points

Upgrade new PCs to Windows 8 Enterprise by attaching SA only Upgrade existing PCs to Windows 8 Pro at a 15% discount (upgrade only) Upgrade existing PCs to Windows 8 Enterprise at a 40% discount (upgrade + SA) Step up to Windows 8 Promotion In addition to the compelling reasons to sell SA in the previous slide, you would be crazy not to sell SA with Microsoft’s 40% discount. 26 Windows 8 Downgrade Rights
Downgrade rights are only available for licenses obtained through OEM or VL and do not apply to FPP OEM downgrade rights apply to Windows 8 Pro and allows for downgrades up to two prior versions (N-2) SA through VL provides the most flexibility, allowing downgrades to prior versions of Enterprise Edition Version Downgrading to OEM Preinstall Volume Licensing Windows 8 Pro Windows 8 Pro upgrade without Software Assurance Windows 8 Enterprise with Software Assurance Windows 7 / Vista Enterprise Window 7 Professional Windows Vista Business Windows XP Pro Windows 2000 Professional Windows 95 / 98 / NT Our goal is to provide a consistent and predictable approach to downgrades, so the policy for Windows 8 will be as follows: Downgrade rights will be included in licenses obtained through OEM Preinstall or Volume Licensing and do not apply to retail copies of Windows OEM downgrade rights will apply to Windows 8 Pro and allow downgrading for up to two prior versions (N-2 or back to Windows 7 Professional and Windows Vista Business) Software Assurance through Volume Licensing will continue to provide the greatest flexibility, allowing for downgrades to additional prior versions and editions including Windows 7 Enterprise This means customers will be able to purchase PCs preinstalled with Windows 8 Pro and have the option to downgrade either to Windows 7 Professional or Windows Vista Business. With Windows XP end of support coming in April 2014 and most customers in the process of deploying Windows 7 we believe having this consistency in policy is the best approach. Software Assurance for Windows 8 through volume licensing will continue to provide the greatest flexibility, allowing for downgrades to any prior version.

27 Qualifying Operating Systems
Slide purpose: To show people what the qualifying operating systems will be across the different programs Notes: If you are familiar with the qualifying operating systems for previous versions of Windows, then there will be no surprises for you on this list You’ll notice that it’s just the business SKUs that are qualifying operating systems, apart from Academic and Charity programs for which the rules are greatly relaxed You’ll also see that the operating systems themselves go all the way back to Windows 98 If you want to refer to this table, then you’ll find it in the Product List And what about downgrade rights for Windows 8 acquired through Volume Licensing programs?
