2 Who we are: National Bank Financial is one of the six largest investment dealers in Canada, with 3,060 employees and assets under management of nearly $53 billion. The Special Services Department pioneered the MFDA & MGA referral channel structure in Canada over 20 years ago We provide full service and full advice to referred clients of 45 firms ranging in size from national firms with hundreds of representatives to small independent practices

3 What we do: Safeguard your client relationship from solicitation by other IIROC dealers Assist you in moving assets (and your client relationship) away from competing IIROC firms Give you and your clients access to not only listed securities, but also alternative investment products including principal protected notes, hedged products, flow through limited partnerships, etc. Add the value and expertise to your practice that can be obtained from our full IIROC platform of services

4 Safeguard your client relationship from solicitation by other IIROC dealers If your client is dealing with any IIROC dealer other than us they are being solicited on a continual basis Our Special Services Department accounts are held in a special range within NBF where all normal client solicitations are suppressed Your name as the referring representative is listed on the client’s statements

5 Assist you in moving assets (and your client relationship) away from competing IIROC firms We transfer accounts in kind from other IIROC firms seamlessly & easily, greatly reducing the other advisor’s ability to hold the account Up to 40% of any transaction charges will be forwarded to your firm as a referral fee – once the account is over we can advise your client as to the timing of sales, restructuring & tax implications

6 Give you and your clients access to not only listed securities, but also alternative investment products including principal protected notes, hedged products, flow through limited partnerships, etc. We provide advice to your client on the most suitable product for them which may be outside of the scope of your license There are many different alternative investment products – we can keep you informed of what types of new products are available

7 Add value and securities expertise to your practice Whether your client hold a single position or a large securities portfolio we can, as a member of your team, assist you and your client with full advice – something a discount brokerage does not do We can conduct your client’s securities portfolio review over the phone during your meeting with your client We work directly with you, the referring representative, to ensure your clients securities holdings fit into your overall financial plan

8 How does it work? You as the referring representative simply call us to explain your client’s situation to see how we can help We will, with you, determine the best account type and fee, or transaction based structure for your client given the client’s unique situation We execute all paperwork providing a compliance firewall between you, your firm, and the client We only provide advice on investments that you are not licensed to advise on

9 What is the client’s experience? You as the referring representative ascertains the identity of the client Over the phone we will complete the necessary “know your client” and account forms with your client, either with you on the phone in your office or directly with the client We will mail all the paperwork to your client to sign and return to us – this includes a disclosure document pertaining to the referral relationship Your client will receive statements directly and get online access to view their account Your client will receive full advice and full service on their account

10 What is your experience? You will receive online access to view your client’s accounts Up to 40% of any fees charged to your client will be forwarded to you as a referral fee via your payroll department and added to your sales grid You can discount your referral fee to reduce the costs to your client You can call us at any time to discuss your client’s overall objectives We work as part of your team

11 How does the online access work? Upon referring your first client, you will be issued a username and password which will allow you to view all of your client’s accounts We use leading edge technology that allows you and your client to break down the account by sector, asset allocation and other parameters A sample of the online access is on the next two slides

14 What does your client receive? The client will receive quarterly statements – monthly if there is activity in the account All normal National Bank and National Bank Financial solicitations are suppressed Your name is included on the client’s statement A sample of the client statement is on the next slide

16 How is my client charged? What are their options? Low turnover equity or bond portfolios often placed in transactional accounts, your client is only charged on a transaction basis Fee based accounts can be discretionary or not. These tax deductible management fees range from 1.3% to 2.45% depending on asset mix and account size

18 Fee Based Accounts Referral fees to the referring representative are 30% on fee based accounts Profile based on the client’s overall risk profile, not per account $100,000 minimum assets
