SOLAR PARK – ROMANIA Photovoltaic Project Stage : Ready to Build 6,174 MWp November 2013 EXPERT GROUP CONSULTING

 Ready to build project  Term Sheet signed and Contract negotiation on-going with EPC co. for plant construction  Contract signed for underground medium voltage line  Contract for Grid Connection signed in 2013  Surveillance (“Dispecerizare”) required by Transelectrica: calendar and very low cost secure

 The project is located in the south part of Romania, in an area with a high solar irradiation potential, 70 km North from Bucharest, near Targoviste City (2 km from the City), in an industrial area, near a large modernized Transelectrica station (aprox. 1,5 Km);  Excellent road infrastructure for construction and general access to the Park.  The area is not crowded and suitable for solar PV developments not having influence by wind parks, with a very good stability of the grid;  The land was removed from the agricultural circuit, and is now located in intra muros area - according to the new requirements of the legislation.  The total surface of the land is 12 ha and is owned by the company.

 ATR obtained from Transelectrica on April 25th 2013  Building Authorizations: ◦ For Park construction obtained on May 31st 2013 ◦ For Transelectrica Station and Underground Medium voltage Line obtained on June 6th 2013  ANRE: ◦ Set-up Authorization: Approved by ANRE on May 31st 2013  Legal Due Diligence Report issued by a very reputable law firm: available.  Transelectrica – Grid Connection Contract– signed

 The connection to the Grid made directly to Station 20kV Electrica Targoviste owned by Transelectrica.  To execute the Grid Connection was necessary: ◦ To install one cell (20kV) in Station Electrica Targoviste ◦ To construct the underground medium voltage cables approx. 1,5 km in length * ◦ To construct underground optic fiber for Transelectrica surveillance (dispecerizare) *

 Installed capacity: 6,174 MWp  Total energy production: 8,390 MWh/a  Energy Yield: 1360 kWh/kWp  Capacity factor: 15,5%  Technical Project and Detailed Design in compliance with Romanian legislation : finalized.

 Negotiations for taking over all the company shares for a very attractive price : 120,000 €/Mwp;  Legal asistance during negociation process and up to the completed transaction status;  Legal due diligence report on Solar Park Project;  Briefing on the legal framework governing the development of photovoltaic projects in ROMANIA, including authorization process;  Legal assistance regarding EU legislation on green energy production and its benefits;
