Canada Corporations Act 3 areas of Unlimited Personal Liability as a Director or Officer of a Company Tax Liability Employment Practices Environmental Liability

1.) Tax Liability Unlimited Personal Liability for collection and remittance of WSIB, Provincial and federal Taxes as well as filing of taxes. Due Diligence and the right accountant are essential.

2.) Employment Practices Wrongful Dismissal, wrongful promotion, harassment, constructive dismissal can all lead to a financial loss which is not covered by traditional coverage

Bill C45 Commonly referred to as the “ Westray Bill” The Legislation imposes criminal liability on persons who direct work that results in injury or death to employees!

3.) Environmental Liability Clean up costs ordered by the Ministry of Environment can be in the hundreds of thousands, traditional insurance does not cover these costs and any fines or penalties as a result of an incident.
