Recommended Amendments/Interpretation of some salient provisions of the PLAI by-laws House of Delegates November 2009 Legazpi Hall, The Heritage Hotel Manila, Pasay City

Article I Section 8 Terms of Office Interpretation –Same provision with the general consensus that an Officer would serve a position for one term (2 years) only. –Re-election is allowed for a position other than the previous assumed position (musical chair).

Article 1 Section 9 Vacancies Amendment –The Law of Succession shall be followed in case of vacancies. –In case the immediate successor opted not to assume the position, the General Consensus shall be applied for the remaining period of the term

Article 2 Council Membership Amendments –Change title to Council Composition instead of Council membership –Suggested corrections and typographical errors would be incorporated in the final draft to reflect the specific geographical subdivision Suggestion –Proposed territorial subdivision of existing regional councils should be submitted for future deliberation

Article 2 Section 3 Council Officers Amendments –The regional councils would elect 7 Council Board of Trustees (CBOT) and shall elect from among themselves: President, Vice-President, Secretary, Treasurer, Auditor, Public Relations Officer and Business Manager. If the Council agreed to an appointed Council Secretary, the General Assembly shall then elect only 6 CBOT –The immediate past Regional President shall sit as non-voting member of the CBOT

Article 2 Section 4 House of Delegates Amendment –To delete this section since it is a redundancy of Article 6 – House of Delegates

Article 4 Membership Amendments –Membership fee of New members shall be Php500 while the annual dues shall be Php300 Consensus –Any Regional Council can accept membership dues of other Councils provided the whole amount would be remitted to PLAI National and proper notification is made to concerned RC

Article 5 General Assembly Amendment –Change title to National Assembly –The National Assembly is the highest governing body –Composition shall be a minimum of eight (8) and maximum of fifteen (15) voting representatives per Regional Council for the purpose of having a Quorum

Article 6 Section 2 House of Delegates Interpretation –3 rd member – any officer or council member provided it is approved by the Council and duly endorsed to the PLAI National

Article 7 Section 2 Composition of NBOT Amendment –National Board of Trustees shall be composed of the 16 Regional Council Presidents who shall elect among themselves the Officers of the Association, namely: –President, Executive Vice President (EVP), VP for Luzon, VP for Visayas, VP for Mindanao, Treasurer, Auditor, PRO, Business Manager and Board Members. –The Secretary may be appointed with no voting power. The immediate past PLAI President shall sit as non-voting member of the NBOT except if there is a need to break a tie
