SELECTIVE FORESEE THE FUTURE WITH

CONTRACTUAL RISK TRANSFER

HOW DOES SELECTIVE HELP YOU ADDRESS THIS WITH YOUR CLIENTS? WHAT DO THESE BUSINESSES HAVE IN COMMON? HOW DOES SELECTIVE HELP YOU ADDRESS THIS WITH YOUR CLIENTS? All three of these operations can suffer a loss caused by a company they hire to perform or provide services for them. For example.. Contractor Example – A GC hires an electrical contractor Manufacturing Example – A manufacturer of springs hires a vendor that applies heat treatment Mercantile Example – A property owner hires a janitorial contractor to clean and wax the floors How does Selective help you address this with your clients?

4 SUB-CONTRACT AGREEMENTS SELECTIVE’S FREE STANDARDIZED CONTRACTS CONTRACTORS MANUFACTURING SERVICES 4 SUB-CONTRACT AGREEMENTS PURCHASE AGREEMENTS SERVICES AGREEMENTS Contracting – Project Subcontract Agreement – Addresses the entire construction relationship on a per project basis Master Subcontracts – Long and Short Forms – A contractor uses the same subs multiple times a year Short Form – Addresses just the indemnification and insurance requirements Long Form – Addresses the entire construction relationship Purchase Order Agreements – For a our smaller contractors with limited sub-exposure Manufacturing – Purchase Agreement This agreement addresses the main contractual obligations of our clients’ suppliers that protect our manufacturing clients. The agreement is editable so our clients can use it as-is or customize the agreement to their specific operation.  The contract has been vetted by our legal department and is ready to download and use. Highlights: The agreement includes entry fields for parties entering the contract, a description of work or service provided, compensation for such work or service, scope of such work or service, and space for signatures.  The form also addresses indemnification, insurance requirements, representations and warranties.  Services – Services Agreements We have a very strong preference – and you should too - that all of our LRO clients protect themselves contractually with a detailed service agreement in place for any subcontractor they hire - from snow removal to lawn services to general maintenance.  Our service agreement is readily available and can be edited/customized to our clients’ needs.  The agreement addresses all the provisions required and, like the MFG Purchase Agreement, has been vetted by our legal staff and is ready for immediate use.
