Main topics of the Course The European Union Law and the Framework fo the Construction of the Internal Market Undertakings, Companies and Firms Rules of Competition (especially, cartels and abuses of dominant position) European Network of Antitrust Authorities Sustainability and Corporate Mobility Legal pluralism and Corporate Models Socio and Financial Inclusion

Course Programmes Programme A: the European Union framework for businesses; three pillars: competition, sustainability and corporate mobiluty, and the pluralism of business models https://www.disag.unisi.it/it/dipartimento/personale/docenti/gabriella- gimigliano Programme B coves legal issues of corporate governance according to a compative approach and within in an international setting. Textbook: Kraakman,R – Armour, J. – Davies, P. – Enriques, H., Anatomy of Corporate Law, Oxford University Press: Oxford (Last edition). The course will follow Programme A.

Art. 3, para. 3, TEU/The Starting Point Programme A Art. 3, para. 3, TEU/The Starting Point The Union shall establish an internal market. Business Law Exam Programme A or Programme B: written exam Programme A or Programme B: During the exam, you’ll not be entitled to use any study materials, Internet, class notes or slide presentations Business Law Exam: January, February, June, July and September (only some students can take the exam also in March and in November) Exam Grade: between 18 (minimum) and 30 (maximum). Answer assessmetnt: (i) your answer must be consistent with the question, (ii) your answer should make cross-references among different study materials, (iii) your answer must be coherently structured, i.e.: this means that the answer is easy to understand because its parts are connected in a clear and reasonable way. More is long and detailed, more your answer is well- graded.

Business Law Course and Mid-Terms Mid-Terms are based on Programme A Three Mid-Terms Both Attending and not-attending students may do mid-terms 2 written mid-terms (3rd and 15th November) and 1 oral mid-term (a the end of the course) Written Mid-Term = two part; 1° Part (questions with multiple choices) and 2° Part (3 open questions). If you answer correctly to the first and second part you can reach 30/30. Oral Mid-Term is a group presentation (group of 2 persons) on a topic picked up from a topic list Who passes all three mid-terms has a final mid-term grade. This grade may be used as business law exam grade.

To Sum Up… Which is the main topic of business law course? How many course programmes do we have? Which are the advantages and disadvantages of course programme A? Which are the advantages and disadvantages of the course programme B? How many mid-terms will be organized and on which course programme are they based on? Are they written and/or oral mid-terms? Can non-attending students do mid-terms? What happens if a student passes all mid-terms? Concerning mid-terms and business law exams, which are the main criteria of evaluation?
