How do we as a Board support the Mission of CLC?

What does the Board of Trustees do at CLC? What is expected of us by law as charter school Trustees? How do we apply the values we’ve defined to the job we see ourselves doing as the Board of Trustees at CLC?

This is what two of the keys documents governing the Board – the CLC By-laws and the Charter School Law – say about what the job of the Board is at CLC….

CLC By-laws Article II: Trustees Section General. Unless otherwise provided by statute or in a section of these Bylaws, all powers vested by law in the Corporation shall be exercised by or under the authority of, and the business and affairs of the Corporation shall be managed under the direction of, The Board of Trustees, which shall be identical in all respects to a board of directors. (15 Pa.C.S.A. § 1721).

Section Powers of Trustees. Subject to the provisions of the laws of this state and any limitations in the Articles of Incorporation and these Bylaws relating to action required or permitted to be taken or approved by others, the activities and affairs of this corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the Board of Trustees. CLC By-laws Article II: Trustees

Section Duties. It shall be the duty of the trustees to: (a) Perform any and all duties imposed on them collectively or individually by law, by the Articles of Incorporation, or by these Bylaws; CLC By-laws Article II: Trustees

(b) Appoint and remove, employ and discharge, and, except as otherwise provided in these Bylaws, prescribe the duties and fix the compensation, if any, of all employees and agents of the corporation/school. (c) Supervise all officers and agents of the corporation, and the Business Manager, ECO, and Department Heads of the school to assure that their duties are performed properly; CLC By-laws Article II: Trustees

(d) Approve all major educational and operational policies; approve the CLCCS annual budget and oversee CLCCS fiscal affairs; contract with outside sources for operations oversight and audit; receive funds for the operation of CLCCS in accordance with charter school law; and solicit and receive grants and donations consistent with the mission of CLCCS; CLC By-laws Article II: Trustees

(e) Actively pursue fund-raising on an ongoing basis, with the objective of raising operating and capital funds; CLC By-laws Article II: Trustees

(f) Meet at such times and places as required by these Bylaws; (g) Register their addresses with the Secretary of the corporation, and notices of meetings mailed, ed, or faxed to them at such addresses shall be valid notices thereof; (h) The Board shall conduct an annual meeting each year CLC By-laws Article II: Trustees

(i) Serve as chairman on designated advisory committees to the Board, (j) Carryout such other duties as are described in the Charter. The ethnic and cultural diversity of the communities served by CLCCS shall be reflected and honored in all the activities of the Board and its committees. CLC By-laws Article II: Trustees

The board of trustees of a charter school shall have the authority to decide matters related to the operation of the school, including, but not limited to, budgeting, curriculum, operating procedures, subject to the school’s charter. [CSL sect A, p.5] Charter School Laws

Trustees of a charter school shall be public officials. [CSL sect A, p.3] The board of trustees shall comply with the act of July 3, 1986 (P.L.388, No.84), known as the “Sunshine Act.” [CSL A, p.6] This written charter shall be legally binding on both the local board of school directors of a school dictrict and the charter school’s board of trustees [CLS A, p.12] An application to establish a charter school shall include all of the following information: The proposed governance structure of the charter school, including a description and method for the appointment or election of members of the board of trustees. [CSL A(4)], p.11] Charter School Law

The board shall have the authority to employ, discharge and contract with necessary professional and nonprofessional employees subject to the school’s charter and the provisions of this article [CSL A, p.5] The board of trustees of a charter school shall be considered an employer for the purposes of Article XI-A. [CSL A(a4), p.16]

The board of trustees shall determine the level of compensation and all terms and conditions of employment of the staff except as may otherwise be provided in this article. [CSL A(a), p.15] Charter School Law
