1 Proposed Bylaw Amendments

2 Motion #1: BE IT RESOLVED THAT the following bylaw be amended to clarify election procedures: CURRENT BYLAWPROPOSED BYLAWEXPLANATION 7.2.3 A member nominating any member for office or the nominated member shall be allowed two minutes of speech in support of the nomination. No other speech shall be allowed. The nominated member shall be allowed two minutes of speech, either in person or by electronic means, or which may be read by someone of the nominee’s choice, or be distributed by paper copy, or by any electronic means. Clarification.

3 Motion #2: (page 1 of 2) BE IT RESOLVED THAT the following bylaw be amended to be in accordance with the current Corporations Act (and the ONCA) to be implemented by the in coming board but no later than January 31 st, 2016: CURRENT BYLAWPROPOSED BYLAWEXPLANATION 10.3 A Special General Meeting may be called at any time by the Commodore, with the approval of the Board of Directors, or on petition in writing to the Commodore of 25 Senior members in good standing stating the purpose for which such meeting is required except as provided under Section 11.4 A Special General Meeting may be called at any time by the Commodore, with the approval of the Board of Directors, or on petition in writing to the Commodore representing 10 percent of the current Senior Memberships in good standing stating the purpose for which such meeting is required except as provided under Section 11.4 Change is in italics bold, to comply with Act. Wording change: “members” to “memberships”.

4 Motion #2: (page 2 of 2) CURRENT BYLAWPROPOSED BYLAW 10.8 Except as provided for in Section 10.7, voting by proxy is not permitted. Proxy voting is permitted at all Club meetings, utilizing a club form, signed by the voting member, and dated for a specific period up to one year. Proxy forms shall be made available to the members at the time of the notice of the meeting, and must be presented upon registration before the meeting. A membership may hold two proxies. Active solicitation of proxies is not permitted.

5 Motion #3: (page 1 of 3) BE IT RESOLVED THAT the following bylaw be amended to comply with the club-given mandate to revise the Senior Membership bylaws, allowing two votes per Senior Membership to be implemented by the in coming board but no later than January 31 st, 2016:: DEFINITIONS: Family: is the family of the named Member. For a Senior Membership this means both Senior Members and each of their families, which include great grandparents to great grandchildren, the Member’s siblings and their children. For all other membership categories it means the named Member, their spouse/partner, and children. Step and foster children are included. Senior Membership: is the category of membership as defined in these bylaws. Senior Member: is a person whose name is listed on an approved Senior Membership Application.

6 Motion #3: (page 2 of 3) CURRENT BYLAWPROPOSED BYLAW 2.2.1 Senior Member: A Senior Member shall have the right to be on the dock seniority list and hold a dock and shall have the right, if otherwise qualified, to seek any office in the Club and to vote on all matters requiring a vote of the membership. These rights do not apply to any other category of membership. A Senior Membership has the right to: a)Name up to two individuals as Senior Members who must be listed in the application. Any change to the Senior Members listed must be in writing on forms provided by the Club and the change approved by the board; and b)Two votes per Senior Membership, which may be exercised jointly or separately by a Senior Member at all General meetings of the club. Where the Club Membership Roster lists only one Senior Member, that Senior Member will be entitled to two votes; and c)Be on the dock seniority list and to hold one assigned dock. Seniority is retained if only one Senior Member is changed on an application but may be reset by the Board if both Senior Members change; and d)Have either or both Senior Members seek election or be appointed to any Office in the Club.

8 Motion #3: (page 3 of 3) CURRENT BYLAWPROPOSED BYLAW 7.1.1 Any Senior member in good standing shall be eligible to be nominated for any elected Board position. 7.1.1 Any Senior Member from a Senior Membership in good standing shall be eligible to be nominated for any elected Board position. 7.1.2 All nominations must be in writing signed by four (4) Senior members in good standing and by the nominee, indicating his/her acceptance.
