2  Lack of chassis interoperability led to operational inefficiencies for Marine Terminal Operators, Motor Carriers and BCO’s: -Multiple chassis pools operating at marine terminals creates space and productivity issues -Chassis dislocations reduced chassis availability across the Basin and led to higher repositioning expenses for chassis pools - Chassis “split charges” were prevalent and reduced street interchanges of chassis leading to longer cycle times on chassis 2

3  A Chassis Use Agreement between multiple, independent chassis pools creates a “gray chassis” which has interoperability for Marine Terminal Operators and Motor Carriers  Inter-Pool chassis usage will be calculated every month and a debit/credit system will be used to determine equipment cost allocations between the independent pools for chassis usage  A third party manager will serve as an impartial and independent service provider to the pools to ensure a competitive business environment  A Repositioning Committee has been established with staffing from DCLI, Flexi-Van and TRAC to address day to day repositioning and operating issues  The Anti-Trust Division of the DOJ reviewed the Pool of Pools chassis documentation and issued a Business Review Letter stating it will take no action 3

6  Ocean Carriers were required to state designate which pool they would operate in and which leasing company would serve as their Unitary Pool Contributor (UPC) on a terminal by terminal basis.  Chassis billing will be based on the “BOX” designation and the designated UPC for the Ocean Carrier will bill the motor carrier for Merchant Haulage shipments at the assigned terminal facility  All other Business Rules of the individual pools and any existing contractual arrangements with Ocean or Motor Carriers shall apply  Motor Carrier choice options are being discussed between the pools 6

7  The Pool of Pools Operating Committee is establishing a series of Business Metrics to monitor equipment utilization and operating costs: - Bare and Wheeled Chassis Requirements by Terminal - On Terminal and Street Dwell Times - Repositioning Expenses vs Historical Norms - Rail Mismatched Chassis - Out of Service By Chassis Pool - Pool Utilization and Pool Overusage 7

8  Large footprint potential (82,000 chassis on 12 terminals) provides a flexible solution to Terminal Operator, MC, Ocean Carrier and BCO community: - Minimizes split costs - Single sort for Marine Terminal Operators - Lower repositioning costs and economies of scale - Positive environmental impact (lower emissions)  Reduced port congestion and driver down time locating authorized chassis and requirement to return chassis to specific terminal locations eliminated reducing “splits”  Greater chassis supply access across multiple pools will increase “availability” of chassis by eliminating chassis dislocations and reducing chassis repositioning  Environmental benefits from reduced fuel usage and engine emissions 8

9  Maintains a competitive, independent pool environment and encourages capital reinvestment in new equipment, equipment specification upgrades (radials) and investment in new IT Systems  Maximizing chassis utilization within the port complex will reduce on- terminal space requirements for chassis and create additional acreage for terminal operations  Increased operational efficiencies in the chassis provision model will reduce transportation costs in the San Pedro Bay Terminal Complex and make the Ports of LA/LB more competitive 9
