2. Iconic Caribbean discusses project with various outside consultants:  Economist to advise on likely job creation  SEC attorney to provide basic feedback of viability and availability to undertake project  Business Plan producer specific to Matter of Ho compliance Regional Center administration then discusses to determine if project acceptable to undertake Regional Center Review

3.  Iconic Caribbean agrees to take the project under its Regional Center designation  Iconic Caribbean and Project Developer execute Memorandum of Understanding Engagement of Regional Center

4. Iconic Caribbean assists Project Developer in identifying qualified Professionals/Institutions required for EB-5, including: *Immigration Lawyer *Economist *EB-5 Business Plan Producer *Securities/Corporate Attorney Project Implementation 1/2

5. Iconic Caribbean assists Project Developer in submissions and on-going communications with required Professionals: *Project Developer will engage and retain Professionals via direct contracts with those Professionals/Institutions *Project Developer is expected to pay said Professionals in timely manner *Iconic Caribbean must agree with the final documents and marketing plans *Project Developer must comply with the required reporting procedures outlined in its Memorandum of Understanding with Iconic Caribbean Project Implementation 2/2

6. *An Immigration Attorney is critical for making the project and immigrant investor applications to USCIS *Immigration Attorney may also be the attorney doing the business plan or SEC documentation *The Immigration Attorney needs to have experience in the EB-5 program *Iconic Caribbean can provide names of qualified firms Immigration Attorney

7. An Economic Study is crucial to proving the viability of the project:  Forecasting direct, indirect and induced employment  Showing the economic impact on the region  Maintaining consistency with the business plan  Determining the timeline for job creation  Providing “Transparency” Economist

8. The Business Plan must be “Matter of Ho” compliant and is best produced by an experienced EB-5 author: Key issues to maintain  Credibility  Consistency with Economic Study  Consistency with SEC documents  Timelines  General vs specific – avoiding “material change” Business Plan Producer

9. The Securities Attorney will work with Business Plan Producer and Economist to create marketing documents:  Offering Memorandum (Private Placement Memorandum - PPM)  Subscription Agreement  Key issues  Disclosure of immigration and financial risks  Finders fees Securities/Corporate Attorney
