Slide 3 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation Topic 1 of 6 Hello. In this lesson, I will be your coach. I will help you explore the appropriate actions to take to protect and enhance ABC Clients public reputation. First, you will participate in an activity in which you interact with a member of the press. Click Next Page in the lower right corner to continue. What Would You Do? i 1 of 15

Slide 4 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation The Activity In this exercise, you will participate in an integrated series of scenes with a reporter. Before you start, however, you will receive background information that will provide you with the context. What to Do In each scene, you will see a list of three possible responses to a question from the reporter. Each response has a point value. The most appropriate response is worth five points. The least appropriate response is worth one point. The middle response is worth three points. Select a response and then click Submit. You will then move on to the reporters next question and another set of responses. Again, select a response and then click Submit. When you have finished answering all the reporters questions, click Feedback to see how you did. Feedback You will receive feedback on your overall performance based on your point totals. You will also receive feedback on each choice. This feedback reminds you of your choice, explains why each of the three choices was right or wrong. 5 Slide 5 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation Discussion Background For this scenario, imagine that you are a pension consultant living in a country that is looking for ways to increase tax revenues. You have been attending a conference on possible government changes to the tax code. The government spokesperson has outlined a number of options, including taxing pension plans. At the end of the event, one of the many reporters attending the conference approaches you about the government plans for taxing pension plans. You have been authorized to speak to the press about pensions. Click Start to continue. What Would You Do? i 3 of 15 Topic 1 of 6

Let me start with this: What do you think about taxing pension plans as an option for raising tax revenues? Make your selection, and then click Submit in the lower right corner to continue. As I see it, there are two issues: what it means to pension plans and what it means to government revenues. I can talk about the effect on pension plans. Will that help you? I am trying to understand the ABC Client position on these tax programs. Do you really think the government needs to raise taxes at this time? Scene 1 Reporter Comment: Response A: Point Value: 5 Reporter response that appears on the next page if the user selects A You responded by telling the reporter that you think there were two relevant issues, what taxing pension plans would mean to the plans themselves and what it would mean to government revenues. You stated that you could talk about the effect on pension plans and then asked if your answers would help. Good job. Taking time to clarify the question will help ensure your answers are understood in the proper context. The answer taxing pension plans is a possible option that the government can use to raise revenues could be misconstrued to mean that ABC Client supports taxing pension plans. While answering no comment avoids potential for problems, it also avoids an opportunity to get the ABC Client name in front of the public in a positive manner. In addition, the public often believes that a person who answers no comment is hiding something. A better choice of words is I cannot provide an opinion on that issue. Public policy is not my specialty. Feedback that appears at the end if the user selects A i 4 of 15

No comment. Public policy is not my specialty. But I want the business community reaction to the tax issues. Do you think raising taxes at this time is a good idea? Scene 1 Reporter Comment: Response B: Point Value: 3 Reporter response that appears on the next page if the user selects B You chose to answer, No comment. Public policy is not my specialty. This does avoid the potential for problems, but it also avoids an opportunity to get the ABC Client name in front of the public in a positive manner. In addition, the public often believes that a person who answers no comment is hiding something. A better choice of words is I cannot provide an opinion on that issue. Public policy is not my specialty. The best choice is to tell the reporter that you think there were two relevant issueswhat taxing pension plans would mean to the plans themselves and what it would mean to government revenues. State that you could talk about the effect on pension plans, and then ask if your answers would help. Taking time to clarify the question and providing context for you answers will help make sure your answers are clearly understood. Answering that taxing pension plans is a possible option that the government can use to raise tax revenues could be misconstrued to mean that ABC Client supports taxing pension plans. Feedback that appears at the end if the user selects B Let me start with this: What do you think about taxing pension plans as an option for raising tax revenues? Make your selection, and then click Submit in the lower right corner to continue. i 5 of 15

Well, yes, taxing pension plans is a possible option that the government can use to raise its revenues. Okay. Since you agree that the government can tax pension plans, you must also agree that the government needs to raise taxes at this time, right? Scene 1 Reporter Comment: Response C: Point Value: 1 Reporter response that appears on the next page if the user selects C You chose to say that taxing pension plans is a possible option that the government can use to raise its revenues. This answer could be misconstrued to mean that ABC Client supports taxing pension plans. The best choice is to tell the reporter that you think there were two relevant issueswhat taxing pension plans would mean to the plans themselves and what it would mean to government revenues. 9 If A: I am trying to understand the ABC Client position on these tax programs. Do you really think the government needs to raise taxes at this time? If B: But I want the business community reaction to the tax issues. Do you think raising taxes at this time is a good idea? If C: Okay. Since you agree that the government can tax pension plans, you must also agree that the government needs to raise taxes at this time, right? Make your selection, and then click Submit in the lower right corner to continue. I have nothing further to say. Look, do not ask me again. So, you have no comment at all? Scene 2 Reporter Comment: Response A: Point Value: 1 Reporter response that appears on the next page if the user selects A You chose to say I have nothing further to say. Look, do not ask me again. The attitude this projects could lead to a hostile relationship with this particular reporter and the media in general. Avoiding bad publicity is only part of the issue; ABC Client also wants the opportunity for good publicity, which requires good relationships with the press. The choice to answer the question when you are not qualified to speak for ABC Client could lead to problems, even though you state that the answer is simply your opinion and you offer to have someone from the company contact the reporter. The best choice is to ask the reporter if you can refer the questions to someone who has the appropriate expertise. Most of the time reporters are working on a tight deadline, so be prepared to follow through promptly. Feedback that appears at the end if the user selects A i 7 of 15

Public policy issues like taxes are not really my specialty. Can I have someone get back to you later today to discuss those issues? I have a deadline to meet. Is there anything you can tell me right now? Scene 2 Reporter Comment: Response B: Point Value: 5 Reporter response that appears on the next page if the user selects B You selected the best choice: Declining to answer the question when you are not qualified and asking the reporter if you can refer the questions to someone who has the appropriate expertise. Most of the time reporters are working on a tight deadline, so be prepared to follow through promptly. 11 This is just my opinion, you understand, and not the ABC Client position, but I think the government has to raise taxes. You will need to talk to someone else at ABC Client to get the official position. I have a deadline to meet. Is there anything else you can tell me right now? Scene 2 Reporter Comment: Response C: Point Value: 3 Reporter response that appears on the next page if the user selects C Your choice, to answer the question when you are not qualified to speak for ABC Client, could lead to problems even though you state that the answer is simply your opinion and you offer to have someone from the company contact the reporter. Is there anything else you can tell me right now? Make your selection, and then click Submit in the lower right corner to continue. I really prefer that you talk to someone who can give you the official ABC Client position on these tax plans. Scene 3 Reporter Comment: Response A: Point Value: 3 The reporter's response is next. That response depends on the total score, not the response in this last scene. You chose to say that you prefer that the reporter talk to someone who can provide the official ABC Client position on the tax plans, which avoids potential problems but misses the opportunity to make an effective comment. The answer, No. I have nothing at all to say to you, could lead to a poor relationship with the media. The best choice is to say that taxing pension plans will greatly increase the costs to companies, and that companies typically pass along increased costs to their customers. This answer is within the area of expertise of a pension consultant and is based on a client perspective of the issue. Feedback that appears at the end if the user selects A i 10 of 15

What I can tell you for certain is that taxing pension plans will greatly increase the costs to companies. Companies might be forced to pass along increased costs to their customers or to reduce employee benefits. Scene 3 Reporter Comment: Response C: Point Value: 5 You chose to answer that taxing pension plans will greatly increase the costs to companies, and that companies might be forced to pass along increased costs to their customers or to reduce employee benefits. 17 Slide 17 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation No matter what you scored on the previous exercise, I hope you came away with a sense of what is needed to protect and enhance ABC Clients public reputation. According to the ABC Client Code of Professional Conduct, you should respond to media questions only if you are qualified and authorized to do so. In addition, there may be local business guidelines regarding designated media spokespersons that you should follow. However, if you ever are in a position to talk to the media, keep in mind the following guidelines. First, make sure you understand the question. Repeat the question in your own words, and ask if you have understood it properly. Second, provide answers only if you are qualified to discuss the issues raised. Third, before answering, take time to think about the context of the question as it applies to ABC Client clients, and provide answers that reflect the perspective of our clients. 20 Slide 20 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation Case 2: Working with the Media Positive Press Media exposure can be good. It publicizes ABC Client and can even lead to new business. For example, a CEO of a company in Asia once watched a television show on recent mergers and acquisitions (M&A) that included an ABC Client senior M&A consultant. The CEO liked the ABC Client consultants comments. For that reason, the CEO contacted the ABC Client consultant regarding a merger that involved his company and another, neither of which was an ABC Client client at that time. As a result, ABC Client consultants conducted frequent presentations and discussions with senior members of both companies over a period of months and the consultants gained their respect and trust. We essentially positioned ourselves as a mediator between the merging companies and a source of information for both. When the two companies finally issued a request for proposal (RFP) to nine competitors, ABC Client won what became a substantial assignment. This example also shows the importance of having the appropriate expertise. If the consultant on the Asian television show had not demonstrated expert knowledge of the M&A business, the CEO likely would have had a negative view of ABC Client. Topic 3 of 6 i 2 of 4 Case 1: Positive Press

Slide 21 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation Case 2: Working with the Media Working with the Media There are some important points you should remember when responding to the media. First, make sure the person responding is qualified. The local press will often call on local ABC Client offices for comments on recent trends, such as the effect of increased longevity on pension plans. These are good opportunities to publicize ABC Client. When the press does call, make sure you follow ABC Client procedures so that the most appropriate ABC Client spokesperson responds. Second, just as you do with clients, try to build mutually respectful relationships with the media. Respond to questions pleasantly and honestly. Do not get irritated by the questions. Third, make sure there is mutual understanding as well as mutual respect. Repeat questions in your own words, and then ask the reporter if you have understood the question properly. Additionally, find respectful ways to ensure that your words are understood. Take care not to make reporters defensive. You could, for example, say that you want to make sure your answer is complete and ask the reporter to give his or her understanding of what you have just said. Finally, know and follow the guidelines in the ABC Client Code of Professional Conduct. Topic 3 of 6 i 3 of 4 Case 1: Positive Press

Slide 22 Code of Professional Conduct: Relationships with Colleagues/Our Public Reputation Our Public Reputation Topic 4 of 6 i 4 of 4 Relationships with Competitors There may be times when a client asks you for an opinion about a competitor. Remember, according to the Code, it is acceptable to make positive comments that you believe to be true, but you should avoid negative comments, even by implication. For example, if a client asked about ABC Client fees in comparison to our competitors, it would be unprofessional to make a comment such as: Well, many of our clients tell us that Consulting Firm Bs rates are excessive. It is permitted, however, to promote ABC Client. Rather than directly naming a competitor, you could say something such as: Our clients tells us that our rates are very competitive. In another case, a consultant at a competitor had overvalued pension plan assets. The company was known to be having financial problems, but the overvalued assets allowed them to show artificial profits. The company eventually went bankrupt, however, and the competitor was sued over the work. If a client asked for your reaction to this situation, it would be unprofessional to respond with a statement such as: That was pretty shoddy work. It shows they did not have adequate peer review. An appropriate response would be: I cannot tell what happened there. At ABC Client, our peer review process should have caught the problem of overvalued assets. Click Next Topic above to continue.
