LOAs 22

LOA Concepts Master Agreement One Master Agreement defines that there is a relationship between the TDSP & the 3 rd Party Either party may end the agreement at will ESI ID Agreement TDSP may add or remove ESI IDs to the Master Agreement Tied to Master by prefix on Agreement-ID ESI ID Agreement represents paper LOA agreement with Customer 3 rd Party has view-only to ESI ID Agreement 23

LOA Concepts Agreement-IDs are automatically assigned – Agreement-ID for Master Agreement has suffix ‘00000’ – Agreement-ID for ESI ID Agreements have same prefix as Agreement- ID for Master Agreement and sequential suffix starting with ‘00001’ – Agreement-IDs will not be re-used, i.e., if a Meter w/suffix ‘00001’ is removed from the Master Agreement, the next available suffix is ‘00002’ LOA Agreements in SMT are initiated by the TDSP All LOA Master Agreements will be explicitly ‘accepted’ by a 3 rd Party Admin Changes to Master Agreements and ESI ID Agreements, including transfers, will generate email notifications to all parties involved with the action 24

LOA Overview Pre-Existing LOAs – TDSPs do not plan to enter pre-existing paper contract LOAs New eLOAs are initiated by TDSP – Master Agreement relationship is between TDSP & 3 rd Party – ESI ID Agreement represents the existing paper LOA – ESI ID Agreement will be attached to Master Agreement regardless of customer; an undefined reference field will be included to allow the TDSP to enter a reference for the paper LOA agreement – TDSPs can not enter an ESI ID Agreement if that meter is attached to an SMT customer account (registered customer must grant that access) – If customer registers after ESI ID Agreement is entered by TDSP, then ESI ID Agreement will automatically transfer to customer mgmt – creating a 3 rd Party Master Agreement for the customer, if none exists already 25

3 rd Party Overview Not in Scope – Attestation which allows a 3rd Party to enter his own LOA (SMT security policy disallows this) 26
