11 District Administrative By Laws District Council can propose amendments District Council can adopt policies and rules

12 District Organization District Formation and Size Districts are formed by the Board of Directors District Boundaries are in Article V of the District Administrative By laws Changes must be approved All Districts Councils involved Board of Directors

13 District Organization Divisions Divisions serve the clubs and members through the Area Governors. Division Functions: Aid in the administration Provide Speech Contests Make Provision for officer training Coordinate other District activities.

14 District Organization Divisions: Identified by Alphabetic designation Must have three Areas Encouraged to form Division Councils Club, Area and Division Distinguished Goals Advisory in nature Support Division Governor

15 District Organization Areas: District Support to the Club. Help the Club reach their goals, and Fulfill their responsibility to the member. Regular contact with clubs Coordinate Inter-Club Activities (Speech Contests) Areas are approved by District Council Consideration is given to size, location, Club types Areas = Four to Seven Clubs Advanced Clubs are not separated out.

18 The District Executive Committee Ensures District Mission is followed Voting Members Include: District Governor, Lt. Gov Education, Lt. Gov Marketing, Immediate Past Dist Gov. Secretary, Treasurer, Public Relations Officer, Division and Area Governors Other attendees: Those invited with business before the committee. No others.

Committee Activities: District High Performance Plan Prepares the District Budget Oversees Financial Operations Assignment of Areas/Divisions Reviews: Recommendations/Reports of Audit Committees Assumes duties assigned by District Council

20 The District Executive Committee Meetings: 4 times per year Meeting Notice Included on District Calendar to District Officers and Clubs District Publications: Web site, newsletters Quorum: Majority of Executive Committee No absentee; no proxy voting.

25 District Conferences Fall Conference Purpose: Provide educational training and leadership opportunities to all District Toastmasters, thereby achieving District mission Sessions include presentations on educational programs and purposes of Toastmasters

26 District Conferences Spring Conference Purpose: Includes the Annual Business Meeting of the District Council District International Speech Contest Presentations on Toastmaster-related topics to expand personal growth and members skills Closes with Officer Installation Banquet Achievement Awards are presented

27 District Committees Nominating Committee Appointed by District Governor Minimum of five members Select candidates Report to District Council prior to Council meeting

28 District Committees Audit Committee Appointed by District Governor Minimum of three members, not District Executive Committee Report Format required by Toastmasters International Interim Report before Feb 15 Year-end Audit by August 31

38 Officer Agreement and Release Consistent with my desire to take personal responsibility for my conduct, individually and as an Officer of Toastmasters International and as a member of a Toastmasters Club, I agree to abide by the principles contained in “A Toastmaster’s Pledge” and the governing documents and policies of Toastmaster International and my Club. I will fully comply with my fiduciary duties to Toastmasters International under its governing documents and the law of the land. (Continued)

39 Officer Agreement and Release I will refrain from any form of discrimination, harassment, derogatory, illegal, or unethical conduct, and I understand that if I engage in such conduct, I may be responsible to reimburse Toastmasters International, my Club or other Clubs or other individuals involved with Toastmasters, for any damages losses, or costs resulting from my conduct. Understanding that Toastmasters programs are conducted by volunteers who cannot be effectively screened or supervised by Toastmasters International or its Clubs, I release and discharge Toastmasters International or its Clubs, governing bodies, and representatives from any liability for the intentional or negligent acts or omissions of any member or Officer of my Club or other Clubs, or any Officer of Toastmasters International.

40 District Elections: Nominations Nominating Committee Responsibility Nominate 1 or 2 for Each Office: District Governor and Lt. Gov. Ed. & Training Nominate 1 or more for: Lt. Gov Marketing and other elective offices Consider all announced candidates Vote for candidates: Nominated candidates must receive a majority of votes.
