3 Mission Statement: The Vinings Homeowners Board of Directors are elected volunteers that endeavor to promote the common good and general welfare of our Homeowners and community. We strive to maintain the beauty, safety and value of our property by continuously making improvements and informed decisions that represent the interests of the majority, while focusing on sustaining a safe and friendly family environment. 4 HOA – What is it? Home Owners Association (HOA) is non-profit corporation managed by a duly elected Board of Directors. It’s purpose is to maintain all common areas and to govern the community in accordance with the provision of the legal documents including the Covenants, Conditions, and Restrictions (CC&R’s), Bylaws, and Articles of Incorporation. 4

5 What an HOA is: A governing body to ensure the safety and quality of its members Comprised of board members elected by the membership May include various committees and assigned roles to ensure the proper care and upkeep of common areas, amenities, special events and communications as deemed appropriate by the board and homeowners What an HOA is not: Catered to individual interest Not submissive to renters (Homeowner maintains vote) Required to be comprised of legal professionals Political or Religious organization Bear no power to regulate personal lives of residents HOA – What is it? 5 5

6 Governing Documents The Covenants, Conditions and Restrictions (CC&R’s) – are the governing legal documents that set up the guidelines for the operation of the community as a non-profit corporation. Bylaws – contain provisions concerning actual association operations, such as meetings, procedures for electing the board members and officers, and general duties of the board. Sometimes the bylaws cover the same topics as the declaration. Rules and Regulations – Board defined rules and regulations that are consistent with the CC&R’s, Bylaws and city and state laws. Governing documents provide the structure within the Board. They regulate resident behavior. They bind all owners to the association, establish association responsibilities, and define owners’ rights and obligations. 6 6

8 Roles and Responsibilities RoleResponsibilities BoardUltimately, the role of the board is to protect and increase property value. This is accomplished by operating the association, maintaining the common property, and enforcing the governing documents. Management CompanyContracted by the Board of Directors to manage the Association's daily operations and to implement policies set by the Board. HomeownerRead and comply with the governing documents. Maintain their property. Treat Members & Board Leaders with honesty and respect. Ensure those who reside on their property adhere to all rules and regulations. 8 8

12 2014 Accomplishments Hiring of common ground vendors – best price for best service Cleaning service for pool area Joined HOA website (Addressgate) Identified HOA Committee needs Changed street signs and street posts Privatized community Repair streets (Germantown) Gates activated (code and remote entry system) Initiated Delinquent Assessment policy 12

13 Proposed 2015 Focus Areas Reorganize HOA committees’ Review and Amend HOA Governing documents (necessary amendments TBD, 75% approval vote by Members required) Install accent lights at front entrance Playground improvement(s) Move toward permanent gate closure Establish Homeowners Directory Increase website content and effectiveness 13
