Collateral Documents: Bonds and Guarantees

Presenter: Dennis Brand – Managing Director, Traprain Consultants
Dennis specializes in the non-contentious and contentious aspects of construction, development and energy projects as well as certain corporate and commercial work. He has spent many years in London with major law firms as well as a period holding a senior position with a well know international construction and engineering group; he has considerable experience of advising on infrastructure projects in both the public and private sectors. His advice has ranged from contract drafting & negotiation, through to preparation & analysis of claims, dispute resolution & arbitration. Over the years this work has taken him to many countries, particularly in North Africa and the Middle East; he was resident in Egypt from to 1998, and in Dubai since 2005.
We will all have experience of projects where the contracts require the production of financial bonds, guarantees and other collateral documents, but do we know what they are or their purpose. Often they are a dealt with exclusively by a finance department and not considered a matter for the project team. However, as contract documents those involved in a project from whatever discipline should at least have an understanding of them. The effect of the Global financial crisis has meant that whether requiring or providing such collateral documents they have attained a greater degree of importance now than perhaps in the past. The purpose of this presentation is to promote a better understanding of such documents including the various forms, the main terms, their advantages and disadvantages .
