October 5, 2018 Facilities Division Webinar #2 – Standard and Construction Manager Projects TERRY It has been 10 years since the last AIA update to the basic 2007 Owner/Architect agreements. The update of the Minnesota State documents offers the opportunity to, not only incorporate the AIA 2017 versions, but to also modify piecemeal customization over the years to improve clarity and eliminate inconsistencies. This session will provide the update to OUR Design/Bid/Build and Construction Manager as Constructor project contracts. Contract Review: AIA A101, B101, A133, B133

eManual Version 2.0 is available on SharePoint at Selected eManual Version 2.0 documents for vendors will be posted on Web at by October 22, 2018 For upcoming A/E RFPs posted until October 22- AIA contract needs to be posted with RFP (not referenced) If A/E’s contract has been executed (using Version 1.0), and construction contract will be executed after October 31 (using Version 2.0), A/E’s contract will need to be amended to incorporate Version 2.0. Terry To follow up to our Webinar #1 last week, the link to the eManual Version 2.0 in SharePoint is provided here and is now active. The website will have limited eManual 2.0 documents available to the public. Note that if Architect/Engineer’s contract was started in an AIA 2007 version, for the Architect and Contractor contract language to align, before executing the construction contract in Version 2.0, the A/E contract will need to be amended to the new family of documents.

There are 3 AIA contract families. We will be discussing the first two today, the Standard contracts, and the Construction Manager contracts. Per this diagram of the families of documents, the A/E contract is blue and the construction contract is orange. The AIA contract summary, found in eManual cc.10, provides a detail of the family of documents. Next week Webinar #3 will discuss small projects. CURRENT contracts > NEW Contracts Construction Contracts Minnesota State AIA A Standard Form of Agreement between Owner and Contractor Advertised recommended over $100,000; scope and signature sheets AIA A CMr AIA A Standard Form of Agreement between Owner and Construction Manager as Constructor (for Construction Manager at Risk) Replaced by UPDATED TERRY - Construction Contracts - Hopefully this slide looks familiar to you, if you attended the Facilities Conference in April The MN 110 and 120 are completely going away. Let me let that sink in. We are replacing BOTH Minnesota State construction contracts 110 and 120 with AIA families of contracts to include language that offers more protections for our campuses. We will now use the family of AIA documents for the standard design-bid-build projects. projects use an updated A133, which Jim will discuss. MN 110 is being replaced with AIA A for bid projects, advertised and recommended over $100, MN 120 is being replaced with the AIA A105 with a companion B105 Small Projects Short Duration design contract, which Justine will introduce to you next week in Webinar #3.

UPDATED REPLACED BY TERRY - Contracts for Design These are the current contracts for design. Karen will discuss the Facilities PT Master Contract next week in Webinar #3 along with Justine’s introduction of the B105 in Webinar #3. Former Design contracts were in a hidden location on the website,. Now Project Managers will be able to find the new ones on SharePoint. RFPs will need to post the new contract for architects and engineers, as they are not on the public website until October 22. There is a NEW SMALL projects design bid build A/E contract, for those that are not using the PT Master Contract. We will now use AIA B133 in lieu of B103 for projects, to all stay in the family.

AIA A101 General Conditions of the Contract AIA A201 TERRY Let me introduce you to the STandard Family of Design – Bid – Build contracts for FY 2018 onward. The A101 is the Construction contract, the Papa Bear contract, that determines which design contract is partnered with it. The B101 is the Design contract, the Momma Bear contract, that partners with the A101. The updtated A201 remains the General Conditions of the Construction Contract, found in the project manual prepared by the designer, and will be discussed more fully in Webinar #4. Or use Facilities P/T Master Contract for design < $100k

11 AIA 101 Family – Design-Bid-Build
Request for Bid A Standard Form of Agreement Between Owner and Contractor where the basis of payment is a Stipulated Sum. A101 Project Attachment Change Order to make modifications to the contract for the Work TERRY Beginning with the Papa Bear of the AIA 101 family, the D/B/B A101 starts with the RFB. Once selected, the A is the standard contract used as an unchanging .pdf, with the project attachment, which provides the specifics of the project and the signatures. The C.O. has been updated to allow tracking of reasons of the changes. The same CO is used to modify the A101, A133 and the A105 contracts.

12 A Overview-contract ARTICLE 1 THE CONTRACT DOCUMENTS The Contract Documents consist of: .1 This Agreement, .2 AIA A101 Project Attachment .3 AIA Document A General Conditions of the Contract for Construction, as amended by the Owner, .4 Drawings, Specifications, Addenda issued prior to the execution of this Agreement and accepted in writing by the Owner, and .5 other documents listed in this Agreement, and Modifications issued after execution of this Agreement and accepted, in writing, by the Owner, all of which form the Contract and are as fully a part of the Contract as if attached to this Agreement or repeated herein. Wherever reference is made to “General Conditions,” “A ,” “AIA Document A ,” “AIA Document A ”, or “AIA A ,” it shall mean “AIA Document A , as amended by the Owner” TERRY The A101 appears fairly short. However, this A101 Construction Contract includes ALL of the documents listed, including the A101 Project Attachment, the A201, the Drawings, Project Manual Specifications, Addenda, and other documents including modifications like ASIs and Change Orders. To be clear, the AIA documents being referred are the ones edited by Minnesota State, not another or the original unedited version of the AIA documents.

13 A Overview-schedule ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION § 3.1 The date of commencement of the Work shall be: The date set forth in a written Notice to Proceed issued by the Owner. § 3.2 The Contract Time shall be measured from the date of commencement of the Work. § 3.3 Substantial Completion § Subject to adjustments of the Contract Time as provided in the Contract Documents, the Contractor shall achieve Substantial Completion of the entire Work as documented in the A101 Project Attachment § Subject to adjustments of the Contract Time as provided in the Contract Documents, if portions of the Work are to be completed prior to Substantial Completion of the entire Work, the Contractor shall achieve Substantial Completion of such portions as provided in the A101 Project Attachment. § If the Contractor fails to achieve Substantial Completion as provided in this Section 3.3, liquidated damages, if any, shall be assessed as set forth in Section 4.5. TERRY These are a couple specific articles in the A101. The dates for commencement of the Work and Substantial Completion are identified in the Project Attachment. The Contract Sum is referenced in the A101 but listed in the Project Attachment, and liquidated damages are found under Section of the project manual. The A101 also provides guidance on payments, retainage, dispute resolution, termination or suspension, and insurance and bonds.

14 A TERRY The A101 is a standard form that will not be edited, and is found under the STANDARD D/B/B ST.70 Construction AIA A on eManual 2.0. However, the project specific items will be updated on the Project Attachment as noted here as See A101 Project Attachment. The final version on eManual 2.0 has been run through the AIA software and any gray bands and DRAFT watermarks have been removed.

15 A101 Project Attachment TERRY
This is the A101 Project Attachment, which is the document that the Project Manager edits for the specific project. Update the text in red. This lists the name of the Contractor, the campus, the architect, and identifies the effective date of the contract and the date when the contract is to be fulfilled, following the one-year warranty (and including the 10-month post-construction warranty walk-through).

The A101 Project Attachment also includes the contact information for the Owner’s Representative, if there is one, the value of the contract sum, and clearly states the date of Substantial Completion, prior to any change order modifications of time.

17 A101 Project Attachment TERRY
Further, the A101 Project Attachment contains the signatures, and needs a signature from the business office person who performed the review to sign the Form and Execution. As the majority of projects will be performed in e-Builder, encumbrance is part of the process electronically. HOWEVER, IF for some reason the contract is NOT processed through e-Builder, then #2 Verified As To Encumbrance MUST be signed. Make sure each signature also has a date or the contract process will have to be re-processed.

18 A101 Change Order TERRY A Change Order is used to modify the contractor’s A101 contract scope of work. To reduce the number of math errors, this is now an Excel spreadsheet instead of a Word document. Fill in the red text. The top of the form should be consistent for all COs on a project. The red text in the yellow cells are specific to that particular change order, and the dollar amount and days entered will then show up and populate the gray cells. Provide the CCD or PR, a brief description, and a reason for the change (whether it be an Error or Omission, Field Condition, Owner Directive, or Regulatory Change). A Change Order should be prepared monthly, or at a regular or timely duration, to prevent accumulating a large number of items on one Change Order. The contractor is not allowed to invoice any of these items until the CO is signed by all parties. For more than 7 items it is recommended that a second Change Order is started.

19 A101 Change Order TERRY On the back side of the Change Order the gray cells are populated from the front side automatically. The Original Contract Sum, the Previous Change Order additions and deductions and the Contract Sum prior to this change order are entered manually. Like the project attachment, this modification to the contract needs to be signed by the Architect, Contractor, PM at the Campus and the review signed by the business office as to Form and Execution. Again, make sure each signature also has a date. This same Change Order is used to modify the scope of work for the A101, A133, and A105 construction contracts. A different CO is used for the A133 when the GMP is determined, and Jim will discuss that one later in this presentation.

21 B101-2017 Overview Updates previous B101-2007 to B101-2017
Architect also means Engineer, if they are lead designer. Sustainable Objectives of the Project added. Transmission & use of Digital Data is added. Clarify meaning of Supplemental & Additional Services. Conformance drawings required for construction. Scope of work table included. B101 Project Attachment Added Term of the Contract. Table 4.1 used to select required services. Updates Record Document Submittal Requirements TERRY The B101 is the Design Contract, the momma bear of the family, and is modified from the previous, 2007 version used by Minnesota State. It is very similar to the previous version, with a few additions and clarifications. (Read above.) Like the A101, the B101 contract is a .pdf that is not edited, but the signatures and particulars of the specific project are on the Project Attachment. This is a much longer contract, defining services and including Architect’s and Owner’s Responsibilities, insurance requirements, copyrights, termination or suspension, compensation, claims and disputes, and special terms and conditions.

22 Definition of Supplemental & Additional Services
ARTICLE 4   SUPPLEMENTAL AND ADDITIONAL SERVICES § 4.1 Supplemental Services Supplemental Services are not included in Basic Services but may be required for the Project. The Architect shall provide Supplemental Services only if listed in B101 Project Attachment as the Architect’s responsibility, in which case the Owner shall compensate the Architect as provided in Section 11.2. § 4.2 Architect’s Additional Services The Architect may provide Additional Services after execution of this Agreement without invalidating the Agreement. Except for services required due to the fault of the Architect, any Additional Services provided in accordance with this Section 4.2 may entitle the Architect to compensation pursuant to Section 11.3 and an appropriate adjustment in the Architect’s schedule. TERRY Article 4 is a major change and needed clarification to aid in filling out the Table Italics on this slide are added for emphasis.

23 Supplemental Services Table 4.1
TERRY This is a partial sample table. Take for example new construction of a classroom building with red Xs shown here. Note: Each row across for each service must have an “X”, either included as a Basic Service, included as a Supplement Service, or Excluded from the design team scope of the work. HOWEVER, AFTER the contract is signed, and perhaps another service becomes necessary that was not included as a basic or supplemental service, THEN the owner can modify the design contract with ADDITIONAL services.

25 Conformance set Conformance set TERRY
As noted at the Facilities Conference, the Conformance Set is to be used during construction, where the design team incorporates the entire construction contract documents into one set after bidding, including addenda and accepted alternates. This makes it easier than referring to many taped-on cut-sheets of addenda, sticky-noted onto the construction set. This is NOT a time to add things to the drawings and project manual that the contractor has not seen or included in the bid.

26 Contractors’ “As Builts”
Record Documents Conformance Set Change Orders Contractors’ “As Builts” Record Drawings TERRY During construction, the Conformance set is modified by Change Orders. At the end of the project, the contractor provides a marked up set of “As Builts”, showing how the project was actually built, such as if there was a resolved conflict, an adjusted dimension, or an item needed to be adjusted in location slightly. The Contractor provides these “As Builts” to the A/E, who then incorporates the changes by CO and the notes on the “As Builts” into a final As Constructed Drawing set. Generally the specifications are not modified, as the actual products incorporated into the built work are found in the shop drawings and submittals. The campus receives the record drawings uploaded to e-Builder as .pdf and as AutoCAD, unless your campus would request REVIT specifically in the design contract. Your campus will also receive ONE hard copy, unless you request additional copies specifically in the design contract.

27 B TERRY The B101 again is a pdf where the specific project elements, such as the Owner, the Architect, the project, and fee in the gray bands are all listed on the B101 Project Attachment.

The B101 Project Attachment, includes the source of the funds, the upper and lower limit of the range of the construction budget, specific project parameters, such as size, location, dimensions, geotechnical reports, site boundaries, topographic and utility surveys, traffic and utility studies, legal descriptions and similar information. It is the campus responsibility to hire these consultants ahead of the A/E, as needed for the specific project, to provide basic information to prepare for the design team. The milestones are provided, and for a small HEAPR project there may be a single design phase and then construction documents; for most projects employing the A101 or A!33 there should be a Schematic Design, Design Development and Construction Document phase ahead of bidding and construction start date. the fee, T

30 B101 Project Attachment TERRY
The B101 Project Attachment identifies the other Owner-hired consultants, to help the design team identify with whom they will be discussing specific elements, such as hazardous materials designer, geotechnical engineer, waterproofing consultant, curtainwall consultant, fire alarm or low voltage consultant, and roofing inspection and testing firm. The A/E is expected to review and discuss advice from these specialized consultants and then incorporate as appropriate or provide specific reasoning if their design professional advice runs counter to the Owner’s hired consultant.

31 B101 Project Attachment TERRY
A couple other clips for filling in the B101 Project Attachment. These services are to be tailored to the specific project. PreInstallation conferences, in addition to the construction meetings, are identified and should be modified as appropriate for the project. Note on the footer of the B101 Project Attachment is the ST.31. This is for Standard Design/Bid/Build project and can be found in the eManual version 2.0 under ST /28/18 is the release date version, and does not get edited except by the System Office.

For the B101 Project Attachment, be prepared to identify how often the A/E should host construction progress meetings and how the campus would like to receive the drawings and project manuals for the record documents, both electronically and number of hard copies.

The B101 Project Attachment, fee on the right has the standard, most typical fee structure at the top in black. However, if the project is split into Design separate from Construction funding, or for Architect’s Supplemental Services defined as part of the contract, these can be split as shown in red.

The total fee and the allowable reimbursable expenses are listed. Note that meals and mileage are not to be separated out as reimbursables, but rather incorporated directly into the lump sum percentage.

This B101 Project Attachment signature sheet should look very similar to the A101 signature sheet. Again, be certain each signature has its matching date, be sure the business office reviews for completeness and signs as to Form and Execution, and then run this process through e-Builder, and ONLY on those rare occasions the project might be outside e-Builder, then sign for encumbrance.

36 Specialty B101 Under Roof Management (RM) in eManual 2.0
The roofing construction contract uses the standard A101 and Attachment Letter. Updated roofing design contract is available as a modified version of the B101 Attachment Letter. There will also be specialty contracts available in the eManual using these updated family of 2017 contracts.

I’m going to let Jim introduce you to the Family of Construction Manager as Constructor contracts formerly known at the risk contract. J. The 133 is for more complicated projects, where it may be best to select by quality, not the low bidder. The A133 is the Construction contract, the Papa Bear contract, that determines which design contract is partnered with it. The B133 is the Design contract, the Momma Bear contract, that partners with the A101. The same version of the A201 serves as the General Conditions of the Construction Contract, and will be discussed more fully in Webinar #4.

39 CM@risk – Construction Manager as Constructor
AIA does not in contracts Works best for large/complex new construction projects or renovations with multiple phasing in occupied space. MS 16C.34 Defines Process for Selection Selection process is lengthy (6-8 weeks) Jim Construction delivery method should be determined prior to Project Initiation. The sooner the better. Complex projects such as Science Labs or renovations with multiple phases in occupied space requiring close coordination. (MCTC HEAPR) Selection process similar to SDSB w/RFQ, shortlist, RFP, interviews, and contract negotiation

41 AIA 133 Family – CM A Standard Form of Agreement Between Owner and Construction Manager as Constructor where the basis of payment is the Cost of the Work Plus a Fee with a Guaranteed Maximum Price (CM.70) A133 Project Attachment (CM.71) Change Order to make modifications to the contract for the Work (CC.41) Uses same CO Form as AIA A105/A133 Contracts Jim The A133 Standard From of Agreement did not change, but we did make some edits to clarify and better coordinate with the B There is a separate CO used for the GMP (CM.80), all other change orders will use the same CO form as other Construction Contracts. One difference, CO will only be for scope changes requested by the Owner. The CM carries a separate contingency to cover unforeseen conditions. Any funds left in the CM’s contingency at the end of the project, come back to the Owner.

42 A133-2009 Overview Updates previous A133-2009
Added milestone dates during design phases Preconstruction services will be treated as a construction contract. Retainage will apply to Preconstruction Svcs. GMP determined after DD and before CD. Separate CO used only for GMP Jim Added milestone dates to CM to align with Architects milestone dates for each phase of design. Previously, Preconstruction services were treated like a P/T contract with any changes made by Amendment. E-Builder cannot process an Amendment and a Change Order against the same contract. Changed timing for GMP from at completion of DD phase to after DD and before completion of CD phase. Receipt of funding a factor. Previously we had an Amendment document for the GMP, now we have a specific CO (CM.80) for this purpose. All other COs us CC.41

E-Manual version 2.0 is now available for use Contracts are now available for use and are in eBuilder Former contracts MN 110 and MN 120 are no longer available from the eBuilder contract process drop down Jim E-Manual V2.0 is posted on the website and in Sharepoint. Contracts are now contained within the e-Manual. There are a few glitches that need to be cleaned up and additional documents updated. Depending which phase you are in on your project, you may be able to use the new contracts if you are transitioning between design and construction. Consult your Program Manager to determine if it makes sense to continue using the current contracts or change to the new contracts.

Current design contracts under previous version need to be terminated at the end of construction documents. A new contract initiated for bidding through construction in order for contract language to align between designer contract and the construction contract. This is for protection of the college or university. There are a number of these projects in HEAPR, GO, revenue and campus-funded. Jim E-Manual V2.0 is posted on the website and in Sharepoint. Contracts are now contained within the e-Manual. Depending which phase you are in on your project, you may be able to use the new contracts if you are transitioning between design and construction. Consult your Program Manager to determine if it makes sense to continue using the current contracts or change to the new contracts.

If a project is currently out to bid for construction and the contract execution will be COMPLETE prior to October 31, a MN 110 or MN120 is still available to download under eManual version The 110 and 120 drop down boxes are no longer available in eBuilder contract process. In these limited applications, download the MN 110 or 120, manually complete, and manually upload these contracts to eBuilder.
