This practice provides comprehensive advice on mergers, acquisitions, investment and divestment transactions, corporate and group restructurings, liquidations, sale and purchase of entities and assets, spin-offs, due diligence and regulatory compliance reviews (including for the sale of companies), privatizations and joint ventures, and any form of establishment of business in Mexico. As part of this advice we support our clients in the design and implementation of optimal structures; preparation of necessary documentation, whether contractual, corporate, or administrative, for the execution and implementation of agreements and commercial transactions; and preparation and maintenance of corporate records. This practice also advises clients on a broad range of contractual matters in virtually all industry sectors, including supply contracts, distribution, sale and purchase, construction, design, procurement, lease, and services.

Served as lead counsel for a Japanese automobile manufacturer in an international agreement with a German automobile manufacturer to create a Mexican joint venture for developing a vehicle manufacturing plant in Aguascalientes that will produce the first luxury cars in Mexico. Advised on transaction negotiations, including a substantial number of contracts and the Joint Venture Agreement. Served as lead counsel for both parties in the antitrust filing for transaction authorization. Legal advice covered all aspects of structuring the deal as well all contractual, tax planning, foreign trade, labor, compliance, intellectual property and regulatory matters. Represented an international chemicals company in a multi-jurisdictional sale of stock and assets to a private equity firm. We represented the Mexican part of this sale, which involved divesture of assets across 52 countries. Represented an international chemicals company in a more than 25 jurisdiction sale of assets and stock in a leather business. Our representation included preparing and negotiating all local sale and ancillary agreements as well as advice on all required steps for transfer of the assets to the purchaser, including transfer of real property, real estate, contracts and employees. Advised a Chinese client on the establishment of a solar panel manufacturing plant in Nuevo Leon. Our representation included tax planning, business structuring, negotiating incentives with the State Government, acquiring land, overseeing environmental and urban development permits and licenses required for operation, and customs and foreign trade counsel.

Represented a German client as buyer of a Mexican gelatin and dessert powder business from a local entity based in Queretaro. Our advice involved due diligence, investment structure design, preparation and negotiation of the stock purchase agreement and all ancillary documents. Advised a US consumer products company in the Mexican portion of an international acquisition of a major animal food producer and distributor. This transaction included a due diligence process and review and drafting of documents. Our advice included structuring, contractual, corporate, tax planning, foreign trade, labor, compliance and regulatory matters. Represented a US based private equity fund in a joint venture transaction with a Mexican partner for the purpose of investing jointly in wireless telecommunication towers primarily based in Mexico. Represented a US based global manufacturer and supplier of powertrain components and vehicle safety products in restructuring two divisions. Advice covered all aspects of an asset sale transaction, including preparation of various legal documents and implementation of specific regulatory procedures in this heavily regulated area. Advised a Japanese client expanding in Mexico on the process of preparing all legal documents required for the client’s subscription of 49% of the capital stock of a Mexican aluminum die-cast company. We prepared pre-merger filings, subscription and shareholders agreements, a new version of bylaws and ancillary transaction documentation.

Advised a US brake manufacturer on the establishment of a manufacturing plant and subcomponents in the State of Jalisco. Counsel included tax planning, business structuring, negotiating incentives with the State Government, acquiring land, overseeing all environmental and urban development permits and licenses, and customs and foreign trade matters. Counseled a US based specialty truck company in the process of establishing a manufacturing plant for heavy vehicles in the state of Guanajuato. Provided full-service representation for a US based plastics manufacturer in the purchase of a plastic injection business located in Querétaro. Our representation covered due diligence, review and drafting transaction documents, structuring, contractual, corporate, tax planning, foreign trade, labor, compliance and regulatory matters. Advised a construction, chemical, and petroleum company with assets in Latin America on the multi-billion dollar sale of its water technology arm in a multi-jurisdictional transaction involving the United States, Mexico, Brazil, Santo Domingo, and Chile. Our advice included buyer assistance during the due diligence process and review and/or preparation of local transfer agreements, closing deliveries, and actions and documents associated with the transfer of employees. Represented automotive part supplier in the transfer of one of its lines of business. Our advice extended to corporate and regulatory matters, foreign trade, labor, and real estate. Represented major international steel component manufacturer on the sale of its existing operations in Mexico, including the bankruptcy of a Mexican subsidiary and a labor strike.

Advised client on the establishment of its first manufacturing plant for jewelry and cosmetics in Mexico. Advised multinational auto part manufacturer on the establishment of an automotive plant in Mexico including design and implementation of corporate strategy, acquisition of land and facilities, construction, tax and labor matters, and elaboration of commercial contracts. Represented a worldwide provider of specialty chemicals in a multi-jurisdictional acquisition of assets in the chemical products industry, including a Mexican company comprising the target assets. Our advice included legal due diligence on the target Mexican company and preparation of local acquisition documents. Represented a Mexican company entering into a joint venture agreement with a Turkish company to establish an industrial facility for the production of recycled metal. Our advice included the design of the legal and tax structure of the investment and the joint venture company, as well as the negotiation of the shareholders agreement and the coordination of Turkish and Spanish counsel. Represented a German buyer in the indirect acquisition of a controlling interest of a Mexican manufacturing company in the business of acoustic metal structures and technology for industrial noise protection. Our advice included due diligence review, ramifications in Mexico of the indirect acquisition of the Mexican subsidiary, negotiation of the employment contract for the key man at the Mexican subsidiary, and preparation and review of all transactional Mexican law documents required for closing.

Represented Mexican seller in a more than 26 jurisdictional sale of assets and stock in the textile, emulsions, and paper chemicals industry. Our advice included due diligence, negotiation of local sale and ancillary agreements, and implementation of property transfer, entailing advice on corporate, transactional, real estate, and labor matters. Advised a major US renewable energy company on setting up operations in Mexico, including tax, labor, and real estate advice, as well as assistance in the due diligence process and acquisition of the project in Mexico. Advised on a US$400 million joint venture project between a foreign company and Mexican company to offer well testing services to petroleum extraction companies, including IP licensing and tax advice, as well as corporate commercial advice. Assisted in the incorporation of a company to act as the acquisition vehicle for the Mexican assets of a US electronic manufacturing company, as well as with the preparation of legal documents and contracts to support the transfer of the Mexican assets, international trade and customs matters, and the negotiation and arrangement of the lease for their facilities. Represented a Latin American film distribution company in setting up operations in Mexico, including the acquisition of permits for import and distribution of foreign films. Represented a US automotive industry company and Mexican subsidiaries in the purchase of assets from another US company in Mexico with respect to its brake operation in Ciudad Juarez, Chihuahua. Performed due diligence, drafted and negotiated contracts, including the preparation of comments and negotiation matters of the Asset Purchase Agreement.

Represented the buyer in a US$110 million stock acquisition of a flexible packaging company involving a syndicated loan to finance part of the acquisition. Represented the buyer of a Mexican subsidiary in the automotive leather business in the acquisition and due diligence review of the target company, including the preparation, negotiation, and implementation of the sale and purchase agreements and related corporate documents. We also analyzed in detail certain potential liabilities in the areas of corporate, foreign trade, tax, labor, and social security. Represented seller in the sale of a Mex$2.5 billion retail loan portfolio of its Mexican subsidiary to a US financial institution. Provided assistance in the structuring of a private equity fund and business-structure design for the operation of a specialty marketing business in Mexico. Represented a client in the US$950 million sale of the consumer products division of an international diversified-technology company. The transaction involved the sale of two legal entities in Mexico, coordination of antitrust filings, advice on foreign trade issues, corporate restructuring of the companies, restructuring of real estate, and labor advice in connection with the transfer of personnel in the divisions. Sánchez Devanny was the lead counsel in the transaction, assisting the client in all aspects of the acquisition. Other countries involved in this transaction were: New Zealand, Australia, Japan, Singapore, China, South Africa, United Kingdom, Portugal, Netherlands, France, Italy, and Canada.

Advised on the Mexican establishment of a US consulting company to provide services to Mexican companies and the Mexican government for the design, construction, and furnishing of maximum-security prisons, and on general prison safety matters. Our firm also advised the client on the design and implementation of the Mexican subsidiary’s corporate structure as well as its contractual structure for training Mexican government personnel. Advised on the establishment of four wind-farm industrial parks in Oaxaca. Representation included negotiations and contact with the Mexican Federal Electric Commission (CFE) for regulatory compliance of the project, negotiations and contracts with third parties to obtain possession of the land from farmers (ejidatarios) in the area, negotiations and contact with the environmental authorities to ensure environmental compliance, acquisition of the required permits and authorizations from local government officials, and managing relations with archaeological authorities regarding compliance with rules on preservation of archaeological sites. Advised a commercial vehicle company on the benefits of transferring its entire California based operation to Mexico in a turn-key project; analyzed the benefits of establishing its operation in Acuña, Coahuila, Mexico, where the company has an existing plant. Established the structure for adding the California division to the existing plant in Acuña while maintaining separate operations but using the same personnel and manufacturing permits. Represented an industrial supply company as the potential buyer of a multi-million dollar distribution center network of bolts and related hardware. Provided both a due diligence review of the target company and an assessment of the risks involved.

Represented the sellers of a Mexican regional music business worth US$150 million. This representation involved the design of an efficient tax structure overseas and a complex corporate reorganization prior to the sale of the companies in Mexico. Sánchez Devanny led the transaction and advised the client on all aspects of it. Other jurisdictions involved were The Netherlands and the United States. Represented a client in the establishment of its platform for a world-wide social network. This work included designing the corporate structure for the establishment of operations, and providing contractual, intellectual property, and personal data advice. Designed and implemented an efficient corporate structure for a client’s investment, including: transformation of the target company into a company for investment promotion (Sociedad Anónima Promotora de Inversión, “SAPI”); review, drafting, and negotiation of documents required for the subscription of shares; capital investment; and joint venture agreement. Collaborated with the Tax practice group. Assisted in the international corporate restructuring and spin-off at a holding level of one of the business divisions of a company headquartered in Buenos Aires, Argentina. Provided advice on the organization of the corporate structure and mergers in Mexico and filings with the Mexican Competition Commission. Because the corporate restructuring was implemented at the holding level, coordination was necessary among several jurisdictions involved in the transaction, including the Netherlands, United States, British Virgin Islands, Mexico, Colombia, Argentina, and Venezuela

Ernesto Silvas-Medina
Ernesto is Sánchez Devanny’s managing partner. He heads the Corporate and Project Finance practice group and is a member of the Corporate and M&A practice group and the Financial Institutions and Services group. Ernesto has over 20 years of experience serving as lead or local counsel for international and domestic corporate clients, institutional investors, private equity funds and family-offices. He has extensive experience in middle and upper middle market cross-border transactions, multi-jurisdictional and domestic stock and asset acquisition transactions and projects, and in-bound and out-bound equity joint ventures. He advises international banks and financial institutions and international and domestic corporate borrowers on cross-border commercial loans, syndicated loans and project financing and all type of security packages and collateralization. Additionally, Ernesto advises international companies on structuring their entry and/or investments in Mexico, setting up manufacturing facilities or businesses in Mexico and all legal issues associated with day-to-day operations. The majority of his clients are engaged in the automotive, food, manufacturing, private equity, real estate and retail industries. Humberto Morales-Barrón
Humberto is the managing partner of Sánchez Devanny’s Monterrey Office. He also heads the firm’s Corporate Governance and Regulatory Compliance practice group. Humberto advises local and multinational companies on all aspects of corporate law, corporate governance and compliance. He has more than twentythree years of experience practicing law. Before joining Sánchez Devanny, he worked at General Electric for more than a decade, most recently as its General Counsel for Mexico, Central America & Caribbean, reporting to General Electric’s General Counsel and Latin America’s CEO, and leading a team of 55 legal counsels in the industrial, financial and entertainment sectors. During that time, he also led General Electric’s legal strategies in the tax, labor and corporate areas and led the design and implementation of the Corporate Governance and Regulatory Compliance infrastructure for General Electric in Mexico, also acting as lead ombudsman in major cases. Cristina L. Sánchez-Vebber
Cristina has 26 years of experience providing service to clients. She has 17 years of experience in the legal industry, with a focus on corporate transactional practice. Cristina provides legal guidance and advice to foreigners entering Mexico to do business as well as assistance to clients that already have Mexican operations that they wish to expand. She also helps clients coordinate their operations with other jurisdictions and provides day-to day legal advice. Paloma Gómez-Pérez de Zabalza
Paloma has worked with Sánchez Devanny since 2011, initially in México and currently in Washington D.C., where she acts as liaison for the firm and clients. She is a partner in the Corporate and M&A practice group as well as the Litigation and Alternative Dispute Resolution practice group. Paloma is also co-leader of the firm’s Energy Task Force, a group that includes practitioners of different law practice areas who specialize in advising energy sector clients. Paloma has 20 years of experience practicing law. She started her career at Uría Menéndez in Madrid, Spain ( ), focusing on corporate law and international transactions. José Antonio Postigo-Uribe
José Antonio is a partner who heads the firm’s Energy, Natural Resources and Environmental practice group and the firm’s Energy Task Force, a group that includes practitioners of different law practice areas specialized in advising clients of the energy sector. José Antonio has over two decades of experience with an M&A and transactional background and extensive knowledge of the energy sector. Francisco Andrés Gámez Garza
Andrés has more than fourteen years of experience advising clients in corporate, mergers and acquisitions, general financing, joint ventures, due diligence, business structuring, divestitures, sales, spin-offs, dissolution, company liquidation, and real estate transactions. He has also helped to set up and oversee operations in Mexico for local and multinational clients. Daniel has significant experience in business, corporate and financial operations, and contract negotiations for international transactions. He advises clients on M&A transactions, joint ventures, corporate restructurings, commercial contracting and real estate matters. He also specializes in corporate governance and compliance matters, and has advised multinational companies, particularly from the automotive, pharmaceutical, medical device and retail industries in complex risk assessments and compliance investigations. Daniel also provides general advice and training on anticorruption and anti-money laundering issues. He has participated as a delegate and a speaker in several courses and symposia regarding compliance with the Foreign Corrupt Practices Act (FCPA). Daniel has XX years of experience practicing law. We are very flexible regarding fees charged to our clients and we make our best effort to reach an agreement with our clients that satisfies their fee structure needs. Most clients prefer to be charged under the hourly fee structure; however, we can prepare estimates and work under fixed fee structures in certain areas of practice if our clients prefer. It is important to note that in some cases a fixed fee structure may not be possible because of the type of matter and the intangibles involved. Our fees are based on the amount of time devoted to each matter and charged generally at the corresponding hourly rates. The hourly rates are fixed as assigned to each professional position based on his/her professional category and experience. We generally increase hourly rates and change categories at the beginning of each fiscal year. Our current rates, exclusive of any taxes and in particular Value Added Tax (“VAT”), are as follows: These fees include some internal charges such as secretarial services, preparation of cost reports and billing statements, and local fixed line telephone calls. However, they exclude any other disbursements such as messenger service, mobile or long distance telephone calls, extraordinary printing costs, third party fees (notarial, translations, government duties), and out of town travelling expenses. Our Billing Process Our standard billing procedure consists of preparing monthly billing statements for client review and approval. However, we can accommodate specific billing timeframes as required by clients. Depending on the client's instructions, such statements are prepared in English or Spanish and sent to the client's officers previously appointed to receive these statements. Once statements are approved, bills are normally paid via wire transfer. We have US Dollar and Peso banking accounts opened in Mexico and the US in which we normally receive payments from clients all over the world. Once payment for a given statement is received, we issue a Mexican invoice in compliance with Mexican tax requirements. For a better billing service, we normally appoint an account manager who is in touch with our client's counterpart and assist in following up on any statement review and payment process. We also accommodate specific client billing requirements. Our billing department is familiar with working with different billing systems and software such as the LEDES billing system. Our rates are exclusive of any taxes and in particular Value Added Tax (“VAT”).
