LEGAL AND SECRETARIAL

Main Functions Legal: To ensure compliance and due diligence of applicable Legislation. To provide effective timely,proactive support to all user departments and to the Board of directors, online / at par with the values of the company.

Secretarial: To maintain the statutory Records and Registers. To comply with the provisions of the companies Act,1956. To ensure diligence of various statue, rules and registration pertaining to the said matters. To obtain various registrations. To take care of any aspects which have a bearing on legal compliance and are those which are necessarily relevant to the operations of the company. Any other functions/responsibilities as may be assigned /entrusted from time to time by the Board of Directors.

Core Responsibilities: Initiating legal actions like injunctions. Passing off suit for damages against infringes of the company trade mark's. Patent Designs –To protect “Intellectual Property Rights of the Company”. Furnishing legal opinion on important issues. Engaging advocates to conduct cases initiated by/against the company. Drafting and settling of documents,agreements,notices of various kind as & when required time to time. Providing replies to various notices issued by various statutory authorities as & when necessary.

continuation Advising on various issues & liasoning with senior lawyers with brief. Furnishing legal advice to group companies and associates on excise,sales tax and other legal issues. Advising various departments operating Managers on legal issues referred,pertaining to day today operations of the company. Updating latest laws,Rules,Amendments which have an impact on the company and initiate measures suitably.

Other Functions Link Marketing Clearance for statutory compliance of Labels, Mono- cartons,Package and other Art work Material requiring vetting. Clearance of Agency Agreements,Model Agreements and such other agreements. Conducting Search on availability of Trade Marks,Patent & Copy Rights under all intellectual property aspects of the same. Clearance of Sales Promotion Schemes as and when warranted. Initiating action against Spurious Producers for Infringement via look alike Products and passing off any. Safe guarding the IPR of the company. Registration of Trademarks /Patents/Copyrights/Designs as necessary.

Other Functions Link Sales & Distribution Vetting of C&F Agreements,furnishing format for renewal and termination of the same as & when referred to. Sourcing Vetting of Third Party Units Licensing Agreements. Tendering legal advise on sales Tax and other Commercial Contracts. Finance Obtaining Legal opinion from the Panel lawyers/legal counsel for creation of Mortgage by title deeds or other agreements necessary. Vetting of personal Guarantee and other such Agreements. Certification by company Secretary wherever required. Furnish Routine Resolutions as Approved by E.D/CMD

Other Functions Link R & D Initiate Patent Registration for Inventions. Administration Drafting & Vetting of Lease, Renewal of Lease agreement HR Attestation and Routine resolutions Commercial Advice on sales tax appeals on receipt of show case notice and assessment orders.
