COMPANY MEETINGS For the smooth and proper functioning of any Organization, holding of various meetings is necessary.It is in the Meetings that various Decisions regarding the management of a company are taken up.

Definition of a Meeting A meeting can be defined as any gathering, assembly of two or more persons in a particular place to discuss some lawful business of common concern and take decisions in the form of resolution on the basis of opinion expressed by the members present in the meeting. Meeting is an occasion,normally planned, where members of an organisation get together periodically to discuss and decide,matters relating to the organisation

KINDS of Company Meetings Company meetings can be Broadly Classified into: 1. Shareholders’ Meetings. 2. Directors Meetings 3. Creditors & Contributories’ Meetings. 1.Share holder’s Meetings: it is the meeting of Share holders of a Company. Following are the different kinds of meetings of SHAREHOLDERS. a)Statutory Meeting b)Annual General Meeting c)Extraordinary General Meeting d)Class meeting

a)Statutory Meeting is the first General meeting of the Shareholders which is held just after the commencement of business. every public company having share capital should hold this meeting. b) Annual General Meeting: This is the meeting of Shareholders of a Company held ONCE in a YEAR to discuss about the affairs of the company, past Accounts etc. c)Extraordinary General Meeting This meeting will be held to transact some special business of urgent nature,which can not be postponed till the next Annual General Meeting. Class Meeting. Refers to meeting of a particular class of shareholders.

Essentials of a Valid Company Meeting (provisions of the Companies Act.) As per provisions of the Indian Companies Act, a meeting should be held validly. If there are any irregularities in the procedure followed for convening a meeting, the proceedings of that meeting are NOT VALID and the decisions taken therein will not be binding. Essentials of a valid meeting are: 1.It must be properly convened as per the provisions of the Companies ACT. 2. It should be Convened by proper AUTHORITY 3.Notice regarding the meeting should be sent to all the persons entitled to receive notice. 4.The meeting should be properly constituted.i.e.: a)A quorum of members must be present at the commencement of the meeting as per Companies Act. b)The meeting should be presided over by the person duly elected as the chairman of the co.,( if not deputy chairman or Authorised official) 5. There should be an AGENDA for the meeting. 6. Items discussed in the meeting should be according to the Order in the Agenda.

DIRECTORS’ Meetings These meetings are open to the members of the Board of Directors of the Company: There are two types of Director’s Meeting: 1.Meeting of board of Directors: are often held to frame policies and to review the progress of the Company. 2. Meetings of Committee : These meetings are held as and when necessary and to send their report or findings to the Management.

CREDITORS’ Meetings Creditors’ meetings are held to take decisions on matters affecting their interests. These meetings may be of following kinds: a)Debenture holders’ Meetings. b)Meetings of Creditors otherwise than in winding up c)Meeting of Creditors & contributories in a Winding up
