SAGU CONTENT BROADCAST DISTRIBUTION UA Network Restrictions Restrictions will only apply to terrestrial markets that UAN is located in (DFW & NYC) If we were picked up by a major, over-the-air network (ABC, FOX, NBC, CBS) for distribution in the two terrestrial broadcasting areas, then the UA Network would also be considered a partner This is a 2-year initial contract

SAGU CONTENT BROADCAST DISTRIBUTION UA Network There are no restrictions on the SAGU.tv distribution. SAGU will always own 100% of content and is free to use it in any way on the SAGU portal. There are no restrictions for future partnerships with other broadcast networks outside of the two terrestrial areas that the UAN is located.

Benefits – Additional exposure for SAGU broadcast content to a faith-based target market It appears they want our chapel services and SAGU Cinema content It appears there are no binding restrictions for this agreement Revenue sharing is generated by new subscribers. Streaming of all games via website or APPS for Smartphones Digital and/or equivalent technology to produce quality audio and reception Familiarity and experience with football broadcasts, as evidenced by past/current relationships with the Dallas Cowboys, Ennis Lions, Texas A&M, Navarro College and Texas Tech University Visible in the community – KRVF has been active and present year-round in the Waxahachie community for 10 years. KRVF promotional teams are seen at Scarborough Faire, Downtown Christmas on the Square, Gingerbread Trail, Waxahachie High School Sports, and numerous local businesses throughout the year. Waxahachie residents and businesses are familiar with The Ranch and FM

SAGU CONTENT BROADCAST DISTRIBUTION KRVF The Ranch SAGU Provisions Provide a list of S.A.G.U/affiliated vendors and/or sponsors to KRVF for the purpose of securing the necessary advertisers needed to generate sufficient revenue to pay for broadcasting games, travel, personnel involved in broadcasting, etc. Work cooperatively with KRVF to ensure that the highest quality broadcasting services possible are rendered for all agreed upon S.A.G.U sport broadcasts. Purchase one of the three available sponsorship packages, when made available for the upcoming broadcast/football season.

SAGU CONTENT BROADCAST DISTRIBUTION KRVF The Ranch KRVF Provisions Provide equipment to render high quality broadcasting services required to meet the technological needs of a given stadium, press box, etc. Provide the necessary broadcast personnel at the on-site venue and in studio for all services contracted between the S.A.G.U and KRVF. Assume the direct responsibility for the securing of advertisers to help pay for all broadcasting fees, charges, payroll, etc. Assume full and complete responsibility for its broadcasting services, as agreed upon and contracted with the S.A.G.U.
