2 API Governance Reorganization API BOD now has five reporting committees: Upstream & Marine Downstream & Pipeline Political Affairs Finance General Membership Resources Committees include Special Programs

3 API Internal Structure API now has eight groups: Research & Analysis Government Affairs Office of General Counsel Upstream & Marine Downstream & Pipeline Communications Administration & Finance General Membership

4 API Standards API Standards Department now part of Research & Analysis Group: “The standards-setting and certification programs are about industry and what it represents. When you take those standards and how they are implemented through the industry, that in itself is advocacy at multiple levels.” - J. Gerard, API President & CEO, December, 2009, Oil & Gas Journal

5 Committee on Special Programs API Committee on Special Programs is responsible for fiduciary oversight of API’s non-dues activities: Standards, Training & Certification, Meetings & Conferences, Publication Sales, Statistics, and Special Solicitation Programs Committee is comprised of Segment Committee volunteers and standards committee chairs Chair is C. Williams, Shell, ECS immediate past chair

6 Upstream Committee Upstream Committee is responsible for API E&P activities Committee is comprised of most senior upstream API member company representatives Chair is G. Luquette, Chevron Committee has been very supportive of standards Upstream Committee met January 27, 2010 to review organization changes Several subordinate committees combined, “Executive” moniker discontinued Additional Upstream representatives for CSOEM sought
