4 BVN GM7 – V1 April 2009 – Code of Ethics – Confidential to Bureau Veritas S.A. for internal use only Bureau Veritas Ethic Principles ► The 2nd October 2003 Bureau Veritas SA Management Board has published the first edition of “Bureau Veritas Code of ethics” hereinafter (“the Code”). This publication followed the publication in July 2003 by the International Federation of Inspection Agencies “IFIA” of a Compliance Code which is the result of a common work within the profession of Inspection Agencies. ► The IFIA’s objectives were to draft for its Members a common code of ethics in order to enhance the status of the Profession (as defined below in footnote 1) by ensuring that each IFIA Member abides by minimum standards of professional conduct throughout its Organisation (as defined below in footnote 2). ► Bureau Veritas Code of Ethics reflects all the requirements of the IFIA compliance Code and as the IFIA Compliance Code, consists of three main principles: Integrity, Anti-bribery, Fair marketing.

5 BVN GM7 – V1 April 2009 – Code of Ethics – Confidential to Bureau Veritas S.A. for internal use only Integrity ► Integrity of reported data Integrity of reported data means: Bureau Veritas work shall be carried out honestly with no influence tolerated in respect to any deviation from either its approved methods and procedures or the reporting of accurate results. Data, test results and other material facts shall be reported by Bureau Veritas employees in good faith and will not be improperly changed. Reports and certificates issued shall correctly present the actual findings, results obtained and other factual evidences of compliance. ► Notes : "Profession" means fields of business concerned with the assessment of relevant requirements as per normative documents such as standards, technical specifications, client specific requirements, codes of practice and regulations including, but not limited to, sampling, testing, inspection, analysis, evaluation, verification, conformity assessment and certification (Article 1, IFIA Articles of Association dated 12 October 2001).Fields of business falling outside the Profession are included, in order to enhance and protect the reputation of the Profession as a whole, since they still fall under the control Bureau Veritas. Such fields of business are required to comply either with the Code or with any equivalent arrangements which apply to the relevant business and which cover, as a minimum, Bureau Veritas Ethics Principles.

6 BVN GM7 – V1 April 2009 – Code of Ethics – Confidential to Bureau Veritas S.A. for internal use only Integrity ► No conflicts of interest No conflicts of interests means; Bureau Veritas work shall be carried out in a professional, independent and impartial manner. Bureau Veritas employees shall avoid conflicts of interest or the appearance of conflicts of interest in their business transactions and services, by taking into account specific requirements and by applying dedicated internal procedures. ► Confidentiality and security Confidentiality and security means that all information received in the course of the provision of Bureau Veritas services shall be treated as business confidential to the extent that such information is not already published, generally available to third parties or otherwise in the public domain.

7 BVN GM7 – V1 April 2009 – Code of Ethics – Confidential to Bureau Veritas S.A. for internal use only Integrity ► Anti-bribery principles Bureau Veritas Code of Ethics anti-bribery principles are the following; to prohibit the offer, gift, or acceptance of a bribe in any form, direct or indirect, including kickbacks on any portion of a contract payment,. to prohibit the use of funds or assets for any unethical purpose to prohibit the use of other routes or channels for provision of improper benefits to, or receipt of improper benefits from, customers, agents, contractors, suppliers or employees of any such party or government officials to prohibit off the book account. ► Fair Marketing Bureau Veritas Code of ethics Fair marketing principles are the following; Bureau Veritas marketing shall be conducted in a manner that is truthful, non- deceptive that will not mislead or be likely to mislead, and that is consistent with applicable laws. We shall present Bureau Veritas Group in a fair and reasonable manner and ensure that presentational information is accurate and unambiguous
