3 Overview Organic Potash Corporation (“OPC”) is a company headquartered in Toronto, Ontario, with subsidiary companies in Ghana West Africa. The main business of the group is the production and export of Potash (Potassium Carbonate) produced from agricultural waste, in particular, cocoa husks. OPC has an exclusive license agreement with GC Technology Ltd. for rights to exploit the proprietary technology for the manufacturing of industrial grade Organic Potash. 3

5 Management Heather Welner, Chief Executive Officer Mrs. Welner has had extensive experience in leading start up corporations to success. Over the last twenty five years she has garnered extensive experience in the broadcast, medical, food and construction industries. Her expertise focuses on execution and detail; possessing a thorough knowledge of process she has been able to bring companies to operation and profit on a consistent basis. Mrs. Welner success has been recognized by being presented with the Female Entrepreneur IN Award (Incomparable Category), which was the award granted to a woman who achieved outside the norm. Jonathan Held, CA, CFO Mr. Held has been involved in numerous successful public market transactions including Initial Public Offerings and Reverse Takeovers. Mr. Held is a Chartered Accountant with experience in a variety of audit, review and advisory engagements, including reporting services for reporting issuers, corporate tax and foreign structure assessments. Mr. Held holds a Bachelor of Mathematics and Masters of Accounting from the University of Waterloo. 5

6 Management Augustus Tanoh, Executive VP Mr. Tanoh holds an LLB degree from the University of Ghana and LLM from Northwestern University of Chicago, Illinois and has a Certificate in Finance for Oil Industry Management (IHRDC). He is an international business man who was in charge of finance and administration in the third largest Ghanaian company (GNPC). Mr. Tanoh played an important part in planning and executing the Government’s strategy for the establishment of oil and gas exploration industry in Ghana. Dr. Martin Woode, VP Research Dr. Woode holds a PHD in Chemical Engineering and Applied Chemistry and a certificate in Strategic Management and Corporate Planning. Dr. Woode has served as a department head of the Chemical and Petroleum Engineering department at Kwame Nkrumah University of Science and Technology. Dr. Woode has several research and industrial achievements including designing a catalyst to reduce NOx and CO in industrial exhausts. Dr. Woode has been a consultant and director of numerous projects around the world and is also a published author. 6

7 Directors Heather Welner Augustus Tanoh Wally Rudensky, CA Mr. Rudensky’s extensive background in taxation and finance and his keen business sense rivals his flair for the unconventional. Wally has over 25 years of experience in public accounting as partner of EvansMartin LLP Chartered Accountants and previously with Arthur Anderson. He has lectured at various Universities and professional forums in the tax and corporate finance areas. He organized the EvansMartin tax practice with particular attention to corporate reorganizations, domestic and international tax and corporate acquisitions. His experience includes corporate finance and governance, international corporate structuring and more recently, IFRS conversion. Mr. Rudensky has been active as a CFO and a member of the Boards of Directors for a number of public companies. Jayson B Schwarz,LL.M.- Director and Transactional Advisor Mr. Schwarz was called to the Bar of Ontario in 1978. Since that time he has practiced law in the areas of corporate/commercial transactions, business structure, tax, corporate planning and real estate. Mr. Schwarz received his Masters in Business Law from Osgoode Hall Law School. Mr. Schwarz is the senior partner at Schwarz Law LLP with associated offices in Accra, Ghana. 7

8 Directors Cont’d Don Gordon, MBA, CFA Mr. Gordon, MBA, CFA, Mr. Gordon has operated as an Independent Consultant to Investment Dealers conducting business assessments for issuers in a wide range of industries during the past 10 years. In addition he is the Vancouver representative for the Canadian National Stock Exchange, where the bulk of CNSX listings have originated. Previously he had 17 years of corporate finance and marketing management experience with the Vancouver Stock Exchange/CDNX. He is past President of the Vancouver Society of Financial Analysts, serving on the Canadian CFA advocacy committee for the past decade, is the founding Executive Director of the Canadian Listed Company Association, and serves as a Director on a number of public companies. Michael Galloro, CA Michael Galloro is a Chartered Accountant with over 15 years of experience having earned his designation while working for KPMG LLP. While engaged as VP of Finance for a public company listed on the Toronto Stock Exchange, Mr. Galloro gained significant experience in finance and capital markets, corporate governance, human resources, and administration. Mr. Galloro pursued a consulting career working on various projects in compliance, valuations, mergers and acquisitions and initial public offerings. 8

9 Why Ghana? Ghana is the second largest producer of Cocoa in the world, second only to the Ivory Coast (combined supply over 50% of the worlds cocoa). Stable democratic political system. Ghana is the emerging political economic star of Africa. Strong and steady economic growth which is being reinforced by the production of 200,000 plus barrels of crude and significant gas reserves. 9

14 Why Organic Potash? Potassium Carbonate (Potash) can be obtained by two main methods: 1. Through mining 2. From the ash of agricultural waste ie. Cocoa pod husk Mined Potash contains approximately 5 parts per million of arsenic which is toxic and limits applications. Organic and totally free of arsenic at 99% plus purity which equates to “pure organic Potash” and is unique to the world. Organic Potash (as it is called) has no limitation in applications such as food and pharmaceuticals. 14
