2 + Overview of the AMATA Performance Contract A template contract approach. Applied to all visiting companies presenting a performance, workshop, event, exhibition etc. In place to set out agreements and obligations on both the company and Falmouth University.

3 + Overview of the show details and fee RE: Performance at Falmouth University’s Academy of Music and Theatre Arts Dear [Insert Name], I write to you on behalf of Falmouth University’s Academy of Music and Theatre Arts (AMATA) to offer you a total fee of £000.00 to perform at the following date and venue: Performance Date: [Insert Date) (to follow: 01 July 2015) Venue: [Insert Studio], Academy of Music and Theatre Arts, Falmouth University, Penryn Campus, Penryn, Cornwall, TR10 9LX Get In Time: [Insert Time] Doors: Time to be agreed between artists, event manager and technicians Performance Start Time: [Insert Time]Performance Length: [Insert Length]

4 + Accommodation and Travel Accommodation & Travel: AMATA can arrange accommodation at Merchants Manor Hotel for the night(s) of your visit ([Insert Date]). 5 + Guest List Your maximum guest list allocation will be 5 people. Please contact boxoffice@falmouth.ac.uk at least 7 days advance with a list of names to reserve tickets for collection on the door. Please include a list of names and email addresses for your guest list to confirm they can be allocated on the box office system. Future developments will be adding details of accessing the box office system as a production company to keep track of ticket sales.

6 + Catering AMATA will provide a £5 per person voucher for the AMATA Café. The AMATA Café will be open throughout the day, but please advise in advance of a convenient time to eat. Please send times and any specific dietary requirements to James.Randell@falmouth.ac.uk or call 01326 259326.

7 + Geographic Exclusion Unless otherwise agreed in writing by the AMATA Executive Producer, you agree not to book any other performances within a 12-mile radius of the Academy of Music and Theatre Arts for a period of one month either side of your performance. For the avoidance of doubt this will include, but not limited to, performances in Penryn, Falmouth, Redruth and Truro.

8 + Equipment AMATA will provide our ‘in-house’ sound and lighting equipment for this performance, but for the avoidance of doubt, will not provide any ‘backline’ equipment or ‘props’. Please send a full technical specification and/or mic list, stage plan and dressing room rider by return. Please liaise directly with [Insert Name] on: 01326 25[0000] or by email on: [Insert.Name]@falmouth.ac.uk regarding any technical requirements for the performance.

9 + Merchandise If requested, AMATA will provide a table within the AMATA Café (or the studio venue if preferred) from which to sell merchandise. You agree to pay a merchandise fee of £20 to the Event Manager at the end of the evening. You also agree to provide the Event Manager on the evening with 6 items of merchandise, which will be distributed to the volunteer stewards.

10 + Accounting Payment of the fee and expenses will be made as follows:

11 + Accounting No fees shall be payable by Falmouth University in the event of cancellation by you, or if you fail to comply with the conditions of release (i.e. submission of invoices). Once a signed contract has been returned to Falmouth University, then 10% of the fee shall be payable in the event of cancellation by Falmouth University, this will then rise to 25% if the cancellation is made less than 7 days before the performance is due to take place. 12 + Invoice Details Please send your invoice to: James Randell, Academy of Music and Theatre Arts, Falmouth University, Penryn Campus, Penryn, TR10 9FE. Please note that payment terms are 30 days and payments cannot be made prior to the performance. Please complete the tax assessment form and enclose this with your invoice. Please include the above purchase order number on your invoice for it to be processed. Nothing contained in this agreement shall be construed to create the relationship of employer and employee between Falmouth University and you.

13 + Invoice Details You undertake to settle and pay all taxes, which arise on the consideration paid by Falmouth University. These taxes will include payment of Income Tax and National Insurance contributions on your emoluments. In the event that the Inland Revenue secures an assessment to Schedule E Income Tax or the Contributions Agency secures the levying of Class 1 contributions to the Company, you will do all in your power to offset payments due by the Company by claiming that the payments made by you should be deemed payments on account of the Company’s liability.

14 + Confidentiality You must not, whether during your time working for Falmouth University or after the end of it, unless expressly authorised in writing by the AMATA Executive Producer, disclose or use any confidential information in relation to the Company, its employees or its clients. This includes confidential details obtained from correspondence to/from the Company, details regarding funding decisions, attendance at or minutes of meetings and appraisal reports. All confidential records, documents and other papers, together with any copies or extracts thereof, made or acquired by you in the course of your work for the Company shall be the property of Falmouth University. These must be returned to the Company on the termination of your work.

15 + Indemnity I must inform you that you are not covered under Falmouth University for any insurance matter related to your carrying out of the work. Accordingly, you must ensure that you are adequately covered on your own account. A copy of your policy must be submitted as proof of cover along with a risk assessment for the performance. If you do not have public liability insurance you can purchase cover for this one off performance from: www.events- insurance.co.uk/pages/performers-insurance for as little as £25.

16 + Documentation We will require you to comply with applicable UK legislation and the safety policies of the site. All performances will require a copy of your insurance and risk assessment to proceed. We also require a completed technical specification and an agreed performance details sheet to help us meet any particular requirements you may have. We will also require a PRS for Music form to be completed on the date of the performance. This form will be provided on your arrival at the venue. The management of AMATA reserve the right to stop any event or actions by any individual on site if they are deemed unsafe by AMATA management, damaging to the reputation of Falmouth University or in the case of an emergency.

17 + Recording Under this agreement, Falmouth University may make audio and visual recordings of your performance for publicity, archive and teaching purposes. The rights in these recordings will vest in Falmouth University, but for the avoidance of doubt, no other commercial usage of these recordings will be allowed unless agreed in writing by you. I have also enclosed a copy of the AMATA Contributor Agreement. Please sign and return a copy of this agreement with this contract.

18 + Jurisdiction and Sign! Under this agreement, Falmouth University may make audio and visual recordings of your performance for publicity, archive and teaching purposes. The rights in these recordings will vest in Falmouth University, but for the avoidance of doubt, no other commercial usage of these recordings will be allowed unless agreed in writing by you. I have also enclosed a copy of the AMATA Contributor Agreement. Please sign and return a copy of this agreement with this contract. Sign the contract and send back to AMATA.
