4. Haworth, Inc. announced 2013 global sales of 1.410 billion USD. An increase of 7.3% from 2012 Haworth in 2013 All Haworth sectors experienced new areas of growth. Despite the increasingly competitive environment in 2013. In Europe as in North America, Haworth experienced solid sales growth. In the latter the company introduced more than 30 products. In Asia Pacific, Haworth continued to experience success. A new plant will be opened in Chennai during 2014. 5. Charme and Moschini sold to Haworth a 58,6% stake in the share capital of Poltrona Frau Group. The agreed price is € 2.96 per share. Acquisition of Poltrona Frau Group Haworth will also acquire from the Shareholders a 98% stake in the company that owns the factories located in Meda. Subject to the completion of the Transaction, Shareholders have granted Haworth an option to sell that can be exercised at the end of the public tender offer process. According to which Haworth will be granted the right but not the obligation, to sell to each of the Shareholders a stake in the Company of 4.2%. The completion of transaction is subject to the approval of a competent antitrust authorities.
