Articles Of Association (The Legal Governing Document) Trustees: Under Company Law, the trustees must ensure that the Church operates within the Objects set out in the Articles of Association, and complies with all legal and statutory obligations. They approve the annual budget, the accounts and all contractual agreements. Currently the Trustees delegate responsibility to the Leadership Team which includes Ministers/Clergy

Articles Of Association (The Legal Governing Document) After taking advice from: Revd Canon Mark Payne at St Pancs Revd Will Kemp, Vicar at The Point Independent Examiners Stewardship Services And after much prayer & discussion the Ministers, Leaders & Trustees are unanimous in recommending: …that we include a Spiritual Leadership clause in our governing document which more accurately represents what we do as a church and is acknowledged by Companies House as appropriate for churches in the UK

Articles Of Association (The Legal Governing Document) Trustees: Under Company Law, the trustees must ensure that the Church operates within the Objects set out in the Articles of Association, and complies with all legal and statutory obligations. Leaders: The Leaders share the responsibility for setting the spiritual priorities and direction of the Church, and manage its day-to- day operation, working alongside and under the overall leadership of the Ministers.

6. Articles Of Association (The Legal Governing Document) Spiritual Leadership Clause (a) The Spiritual Leadership comprises Licensed Clergy and the Leadership Team. Licensed Clergy derive their spiritual authority from the Bishop and assume responsibility for the overall leadership and oversight of Immanuel Church. (b) The Church is regulated under Canon Law and Licensed Clergy are accountable to the Bishop. (c) The spiritual leadership of the Church shall rest with the Spiritual Leadership. If there are Trustees who are not members of the Spiritual Leadership then their role shall be confined to the management and administration of the Church in accordance with the provisions of the Memorandum and the Articles and of the general law. (d) The Trustees of the Church shall fulfil their legal duties having due regard to the spiritual direction of the Church as set from time to time by the Spiritual Leadership acting always in accordance with the requirements of the Memorandum and the Articles and the general law.
