Key: Understanding the characteristics of each form of ownership and how well they match an entrepreneur’s business and personal circumstances.

5 Forms of Business Ownership Businesses owned and operated by one individual; the most common form of business organization in the United States. Usually employing less than 50 people. Sole Proprietorship

8 5 - 8 Ch, 5: Forms of Business Ownership Partnership An association of two or more people who co-own a business for the purpose of making a profit. Always wise to create a partnership agreement. The best partnerships are built on trust and respect.

9 5 - 9 Ch, 5: Forms of Business Ownership Types of Partners General partnership A partnership that involves a complete sharing in both the management and the liability of the business Example: Lawyers, accountants, architects Limited partnership A business organization that has at least one general partner, who assumes unlimited liability, and at least one limited partner(usually investors) whose liability is limited to his or her investment in the business. Example: real estate partnership

13 Corporations A Corporation is created (incorporated) under the laws of the state in which it incorporates. The individuals creating the corporation are called incorporators such as KİPA, KOÇTAŞ…etc. Creating a Corporation

Types of corporations: ► Domestic – a corporation doing business in the state in which it is incorporated. ► Foreign – a corporation doing business in a state other than the state in which it is incorporated. ► Alien – a corporation formed in another country but doing business in the Turkey

15 5 - 15 Ch, 5: Forms of Business Ownership Corporation Types of corporations: ► Publicly held – a corporation that has a large number of shareholders and whose stock usually is traded on one of the large stock exchanges. ► Closely held – a corporation in which shares are controlled by a relatively small number of people, often family members, relatives, or friends.
