2 BCA Mission The mission of the Building Commissioning Association is to guide the building commissioning industry through advancing best practices and education, and promoting the benefits of building commissioning.

3 BCA Core Values Integrity: The BCA conforms to and promotes recognized legal and ethical practices and procedures. Relationships between BCA leadership, staff, and members are respectful, fair, open and impartial. All programs, services and association communications reflect the organization’s focus on quality. Leadership: The BCA acts as a motivational force for the industry and provides visionary direction. Quality: The BCA has established credibility as an effective, competent, high quality organization and voice for the commissioning profession. Expertise: The BCA is the source and authority for technical and procedural aspects of commissioning and their value to the building community. Among its members are recognized experts in the field, and the organization is often called upon to provide expert information for policy development.

4 Vision Statement The Building Commissioning Association (BCA) is an international organization that strives to become the recognized authority and resource for the commissioning industry. Develops and maintains high standards and practices on the Commissioning Process and coordinates related technical resources. Assures continuing professional education meets the BCA’s best practices. The association’s certification program is the recognized credential for commissioning professionals. Enjoys an ongoing collaborative relationship with related organizations within the building community. The organization is strong, growing, robust, and fun.

5 Board Roles and Responsibilities Board members are responsible for the direction of the organization. The Board governs, develops policy and sets a course for the future. Maintain focus on the mission, strategic goals and financial well being of the organization.

6 The four functions of a Board are: Governance Policy & Position Development Visionary – Future Focus Fiduciary

7 Risk Management Board members are expected to protect the organization, be aware of fiduciary responsibility, contracts, audit results, insurance, IRS requirements, values and ethics, apparent authority, and antitrust policies.

8 Antitrust Law Compliance Antitrust Violations occur when two or more persons from the same industry or profession discuss suppliers, processes, prices or operations. Remove yourself from any conversation that would change how business is conducted because of an agreement among competitors.

9 Compliance Agree to strictly comply with laws and regulations applicable to their activities, including federal and state antitrust laws Board members are expected to conscientiously adhere to antitrust laws

10 Compliance Will neither knowingly permit nor condone anti- competitive behavior, whether willful or inadvertent, in connection with any BCA activity Has a policy to assist members and volunteers in complying with federal and state antitrust laws

11 Antitrust Laws Competitors may not restrain competition among themselves through understandings or agreements Monopolization Unfair methods of competition Unfair or deceptive acts Etc. etc.

12 Conflict of Interest: Duty of Loyalty Material personal or business interest in a proposed BCA contract or outcome Not only tangible benefits/payment: privileged information is included Indirect interest are also covered: e.g. Leader is employed by company X which is dealing with BCA in another capacity

13 Who does it apply to: Leaders defined: –Board members –Chapter board members –Committee members –Senior staff members
