5 Collaboration Agreement › Objective is an R&D public-private collaboration focused on defined list of challenges › The projects and activities are independent of the procurement activities of the participating research organisations and there is no obligation for the participating companies to produce products based on the results › Entrance conditions and annual contribution › Mandate and composition of board of sponsors, management team and process › No party can make any public announcement without prior written consent › Defines and protects the parties rights with respect to sharing proprietary information (e.g. basic NDA coverage) › This collaboration does not imply agence/partnership › Each party responsible for own costs › No liability › No party can make a commitment on behalf of another party › Inter-governmental research organisations retain their diplomatic privileges and immunities › Duration: 3 years 13/02/2014Bob Jones– CERN openlab5

9 Board of Sponsors › Highest level management body of CERN openlab › Includes representatives of all sponsor companies and research organisations › Annual board of Sponsors meeting  Sponsors review collaboration activities and plans for the coming year  The number of participants (<5) each sponsor can bring to the meeting will be proportional to their total accumulated level of contribution across all the projects from the start of CERN openlab V to the current year 13/02/2014Bob Jones– CERN openlab9

11 Projects The structure of phase V moves from competence centres to project focussed The existing “contributor” and “partner” level requirements for industrial partners will no longer apply. Each project has  Clear objective  Identified team and project leader  Set of resources committed by participating sponsors  Schedule with key milestones and deliverables  Project agreement (signed by all participating sponsors)  Annual project report (includes results achieved and resources consumed) There is a minimum size for a project to be eligible for considered for inclusion in CERN openlab:  Minimum 2 sponsors: and 1 year duration (smaller activities can be performed within the context f the collaboration agreement)  When a sponsor company provides a cash contribution to fund project effort at a research lab it will be in units of 12 person-months Templates for the project agreement and project annual report will be provided 13/02/2014Bob Jones– CERN openlab11

12 Project Resource Commitments › The set of resources to be committed by participating sponsors to a project will be defined according to the project’s needs  Contributions from sponsor companies can be a mixture of “in-kind” (H/W, S/W, consultancy, etc.) and “cash” (to hire young IT specialists dedicated to the project)  Contributions from research partners can include: ̵ Domain specific & IT expertise ̵ Supervision of hired project personnel ̵ Use-cases ̵ Project leadership ̵ Testing environment ̵ End-user engagement ̵ On-site visits 13/02/2014Bob Jones– CERN openlab12

13 Project Agreement Agreement covering all aspects of a single project › Statement of Work (SoW)  A statement of work detailing the activities to be completed, including descriptions, specifications, deliverables, due dates, and applicable acceptance criteria (if any). The parties revise and sign SoWs.  The SoW is attached as an appendix to the project agreement › Resources Committed  Personnel remain responsibility of employer  CERN retains right of access to CERN site › Communication › IP & Background › Confidentiality (if required)  If confidential technical reports are produced then a public summary must also be published › Costs & Liability (each partner responsible for own costs, no liability) › Governing law (and recognition of status of international labs) › Dispute resolution (and arbitration process) 13/02/2014Bob Jones– CERN openlab13

14 Project Scheduling Projects have start/end dates with annual cycles Regularly reviewed by participating sponsors Expect to plan projects during 2014 with possibility of delayed start due to scheduling needs The number of one year projects will be limited due to the overhead of the preparation and management 13/02/2014Bob Jones– CERN openlab14 Project 1 Project 2 Project N 2015 20162017

15 Annual CERN openlab Event › High-visibility public event to promote the activities and results of CERN openlab and its projects  Press will be invited and the event can be broadcast › Each sponsor will be allocated a number of seats proportional to their total accumulated level of contribution across all the projects from the start of CERN openlab V to the current year  Sponsors can invite their customers within the limit of their allocated seats  Visits to CERN installations (LHC etc.) will be organised for participants 13/02/2014Bob Jones– CERN openlab15 Globe @ CERN Capacity ~200

16 Communication Project activities and results will be disseminated to a wider audience › Subject to agreement between all the participating sponsors that it does not compromise legitimate academic or commercial interests › Press releases (must not imply endorsement of products by research labs etc.) › Visibility and presence of sponsor companies on the website will be proportional to their total accumulated level of contribution across all the projects from the start of CERN openlab V to the current year 13/02/2014Bob Jones– CERN openlab16
