5 © 2015 Onit, Inc. “In its essence it's really important for corporate law departments to be involved in the business processes and continuously optimize those processes to improve performance of the business as a whole. That's what keeps law departments innovative, creative and providing continuous value to the company.” - David Cambria, ADM

6 © 2015 Onit, Inc. Inside Counsel Innovators Developed a preferred-provider network of law firms that were open to flexible billing The network of outside law firms handle 75 percent of company’s legal work and receive 12 monthly payments of a flat fee determined at the beginning of each year. Development of a satellite legal department Bring document review in-house in order to cut down on discovery costs Legal matter ticket system

7 © 2015 Onit, Inc. Inside Counsel Innovators GCOE for high volume low complexity work Outside Counsel Dashboard (OCDB). The dashboard is an easy-to-use online tool that gives attorneys a near real-time view of their outside counsel spending activity across all matters they oversee Data-driven, objective method for reviewing rates proposed by outside counsel, which identifies a fair market rate “Legal Portal” where lawyers can find sample forms, up-to-date policies, best practices and educational materials customized for their needs

8 © 2015 Onit, Inc. Inside Counsel Innovators Track who they have trained and to store acknowledgements of policy Automate the diversity reporting process by requiring the firms to provide diversity information directly into the e-billing system Globally integrated technology platform that today includes matter management, e-billing, records management and IP management Use the company’s existing Lotus Notes system to build an eHold solution

9 © 2015 Onit, Inc. Is any of this really innovative?

10 © 2015 Onit, Inc. Common Legal Department Issues …STILL Do not have one system of record to manage its risk and identify its outside counsel spend Do not have an ability to easily identify open matters (projects, circumstances, claims and law suits) company-wide No consistent and verifiable process to identify risk on open matters Reserve/exposure reporting across the organization for open matters is a fragmented process and done manually No automated and auditable process to ensure settlements are strategically evaluated and properly authorized

11 © 2015 Onit, Inc. BUT… Virtually All Knowledge Work and Processes are Executed Outside These Systems Traditional matter management encompasses two areas –Tracking matters & spend This leaves other processes in the legal department fractured Work migrates to email and spreadsheets Processes are encapsulated in “forms” and flowcharts Excel is used for tracking and reporting And these tools are simply breaking down…

12 © 2015 Onit, Inc. It’s no longer just about spend management In addition to the responsibility of managing documents, e-billing, matters, and outside counsel, it's equally important for corporate legal departments to be involved in business processes. “...continuously optimize the organization's processes to improve business performance against goals and objectives.” "In an enterprise legal management context, BPM includes the automation of manual processes through methods such as workflow and collaboration functionality. » Examples include the distribution and approval of legal documents, assignment of tasks and legal resources, as well as the monitoring of alternative fee agreements.”

18 © 2015 Onit, Inc. Simple Facts Innovative Legal Departments will change and adapt to help their organizations grow and thrive. In order to do so, they will recognize that Matter Management isn’t about the database, but rather at it’s core, Matter Management is about process.

19 © 2015 Onit, Inc. Law Departments (and organizations generally) are Beginning to Understand.... Traditional Enterprise Legal Management (ELM) systems of record don’t begin to address the primary problem corporate counsel (and knowledge workers generally) deal with... Day-to-day support activity that leaves them unable to be meaningfully involved in strategic business unit priorities. Workflow and collaboration are bolt-ons to existing databases and applications, not built within the core application architecture. This complicates implementation and does not support the day- to-day interactions with internal business teams required to effectively support them during the course of a transaction. Do not easily support transactional kinds of legal services requests and processes

20 © 2015 Onit, Inc. In Summary Legal departments need to INNOVATE Matter Management & legal e-billing is a decades old industry served by decades old technologies Onit represents the first real advance in matter management and e-billing since Onit’s founders last company – DataCert in 1998 The difference is that Onit’s primary mission is to help lawyers get their work done better, faster and more efficiently –Replace email as the primary way lawyers get work to do & get work done –Provide automation of any law department process –Remove redundant/wasteful data entry by lawyers and staff In the context of the above mission, Onit’s Apps help law departments provide better service to their businesses and improve operational efficiency
