1 North America Chapter of BIT Sindri Alumni Association presents Ranjit Sinha Association ByLaws 2013

2 Legal Status of the Association Previous tax-exempt status revoked in 2010 due to non-filing of documents with the IRS. Ad-Hoc Committee formed in the annual meeting of members in September 2012 to revive the association. Incorporated in the State of Delaware, USA, on February 21, 2013 as a nonprofit organization. Recognition of Exemption as a 501(c)(3) by IRS expected shortly.

3 Alma Mater, Alumni, Members  Alumni - set of people earlier affiliated with the Alma Mater (student, staff, or faculty).  Members - lawfully living in USA and Canada (will have voting rights)  Associate Member - friend or family of a member, lawfully living in the USA or Canada (no voting rights)  Association may require a fee from members for the necessary administrative expenses of the association.  Non-payment of such fee from a member shall not deprive the Member of the voting rights.

4 Board of Directors (The Board)  Association affairs & property - managed by the Board of Directors.  at least three Directors to be elected to hold the office for a two year term.  President shall select one person for each position to be filled.  Slate of Candidates presented to the Members in the Notice of Annual Meeting.  President shall open the floor for any further nominations.  Voting needed if the number of candidates exceeds the positions.  Any vacancy may temporarily be filled by election in the BoD.

5 Officers  Directors will serve as officers of the association President Vice Presidents Treasurer Secretary  One Director may hold two office positions  Officers shall be elected by the Board of Directors  Officers shall receive no compensation for their services

6 Committees  Committees may be formed to perform functions as determined by the Board.  The Board will have authority to form an Advisory Board to include past directors, officers and members at large of the Association a.advance the cause b.image, and impact of the Association c.long range planning.

7 Miscellaneous Provisions  The Board may establish regional offices of the Association in USA and Canada.  Each offices will be headed by a Regional Vice President, governed by the Bylaws of the Association.  The Board may: Offer scholarships, aids, prizes, and awards to students and alumni Sponsor events to benefit alumni, faculty, staff and students Offer financial aid and enhance education and research at the Alma Mater to support areas of technology Encourage technical exchanges between Alma Mater and educational and research institutions in the United States and Canada Advise on specific training of the students for better placement in the job market Member is DIRE UNMET NEED may request a grant up to US$3,000. to be approved by the BoD, and supervised by a Director

8 Amendments of ByLaws  Any member of the Association may propose an amendment  A simple commonsense change to the ByLaws can be submitted as a written proposal to the Board  By a two-thirds vote, Board may approve or reject the proposal.  For Proposals of a substantial change, Board may seek a decision at the meeting of members where two third votes of the members present will be required for its adoption.

9 Membership Fee Members are urged to contribute toward operational and approved program expenses as outlined in slide 7:  Life Membership:  Faculty and graduates thru 1959 - US$300.00  Graduates from 1960 to 1979 - US$600.00  Graduates from 1980 onward - US$900.00  Annual Membership: US$50.00
