4 What is a Service Provider?
Service providers offer a variety of software services to customers. You are a service provider if your organization provides customers direct or indirect access to products that interact with Microsoft server or application products and that are offered as software services. A Service Provider may do the following: Provide your customers with direct or indirect access to products such as hosted websites or LOB applications through Microsoft server products Offer your customers software services that interact with Microsoft Products. In this scenario, you, not your customer, are the licensee. Facilitate your customer’s business, including business transactions with third parties, through software services that interact with Microsoft Products Provide your customers with access to and use of any application as a software service, Microsoft or otherwise, and the application is running on a server and interacts with a Microsoft product on that server Offer other service providers platform infrastructure services to use and run any Microsoft or third party application. This, in turn, allows these other service providers to offer Microsoft applications as a software service to their end customers through their own SPLA

5 SPLA Program overview The Services Provider License Agreement (SPLA) Program allows an organization to license Microsoft products and use them to provide software services to its customers A three-year agreement term that can be extended Payment terms: Monthly reporting and payment based on use Annual price protection The SPLA makes offering software services easier because you are the licensee, not the customer. Services Provider Use Rights (SPUR) Subscriber Access License (SAL) and Per Processor Model Not version specific Allows for commercial use of Microsoft products Global Reach Software services can be delivered worldwide without licensing limitations

6 Is a SPLA right for your business?
With the SPLA, service providers can license Microsoft products on a monthly basis during a three-year agreement term. They can use these products to provide software services and hosted applications to their customers The SPLA may be right for you if you have one of the following business models: Application Service Providers Messaging and collaboration service providers PC rental companies Web hosting providers ISVs that provide hosted applications* Business process outsourcers (BPO) IT outsourcers that provide software licenses Platform infrastructure providers Streaming media providers** Web or internet service providers *If you are an ISV, you can offer software services built on your intellectual property (IP) to your customers through servers connected to the Internet or a private network. If Microsoft products are used to provide these services, they can be licensed through your own internal-use Volume Licensing agreement, with the requirements as described in the Product Use Rights (PUR) document **Some products under SPLA cannot be streamed to customers. Increase the value of your services by managing software use rights for your customers. Pay as you go with no up-front costs. Pay only for licenses based on what you make available to provide services each month. There are no start-up costs or long-term commitments. Access the most current product versions. Give your customers the most current and capable Microsoft platform. Download your products at no charge through the Microsoft Volume Licensing Service Center (VLSC) instead of ordering physical media. Offer software services worldwide. Use Microsoft Products to deliver software services to end customers in and from any part of the world where distribution is legally allowed. Expand distribution capabilities through Software Services Resellers. Expand business reach to small and midsize businesses providing software services through additional resellers. Leverage Data Center Providers for infrastructure capabilities. Have the option to focus on hosting your application solutions and acquire infrastructure as a service (IaaS) from a Data Center Provider. Leverage Data Center Outsourcing. Install Microsoft Products on servers under the day-to-day management and control of an outsourcing company to deliver your software services based on your capacity and server management capabilities. The outsourcer can then perform data center administration, testing, and maintenance support services on the end customer’s behalf. Try before you buy. Test and evaluate products internally before offering them to your customers as a service. Prior version rights. Consistent with other Microsoft Volume Licensing programs, SPLA includes rights to prior product versions. This supports a seamless transition for you to move to SPLA and a hosted business model. Install at customer facilities. Install Microsoft products on servers that are located on an end customer’s premises under your management and control. Expand your reach to academic institutions. Expand your business with specific price offerings available to your academic customers through the SPLA. Offer demonstrations and evaluations. You can give up to 50 users product demos on Microsoft software and provide your customers with a free 60-day trial period. Include your affiliates under a single agreement. Simplified licensing with the Microsoft Business and Services Agreement (MBSA). Once an MBSA is in place, you only need to sign a shorter and more simplified SPLA every three years. It also makes it easier to purchase Premier and Professional support.

Enroll in the Microsoft Partner Network (MPN) Designate a SPLA reseller Comply with the Services Provider Use Rights (SPUR) Provide monthly reporting on software licenses Submit a monthly invoice payment Abide by copyright guidelines, the use of trademarks, and antipiracy obligations; affiliates must also follow these requirements. Provide technical support to your customers on the Microsoft products you offer Agree to participate in Microsoft SPLA audits Comply with export requirements

10 Reporting and payment You are required to submit either a monthly use report of at least $100 and payment, or Zero Use Report on the date agreed to with your reseller. You must submit a Zero Use Report if no fees are due that month. You may submit consecutive zero usage reports for the first six months immediately following the signing of your SPLA agreement. After the first six usage months you must begin reporting at least U.S. $100 per month to keep your SPLA agreement active. You must report the name and address of all end users with more than U.S.$1,000 per month revenue in Microsoft products. The use report identifies Microsoft products and quantities made available to customers by country in which the customer is located. Reporting for Licensing happens monthly. The SPLA reseller reports the number of stock-keeping unit (SKUs) licenses by the country into which they are sold. The use report is filled in by the partner and submitted to Microsoft through a password-required Web site.

11 SPLA Licensing models Licenses acquired under the SPLA are monthly nonperpetual licenses that customers can use during the agreement’s term The Microsoft licensed products included in the program are available for licensing through three models Note: Not all products are available in all licensing models. 12 Per Subscriber - Subscriber Access License
A SAL is required for each individual user or device that is authorized to access or otherwise use the software. A SAL is generally required for each individual who is authorized to use the software in any given month When using the SAL option, a separate Server License is not needed Not all products are available to be licensed in the SAL mode. Examples of products licensed with a SAL include Microsoft SQL Server, Microsoft Exchange Server, Microsoft Office, and Microsoft Dynamics business software Benefits of the Per Subscriber model include: Subscribers can access any number of servers Service providers can “scale out” Service providers have minimal start-up costs

13 Per Processor License Each Per Processor License (PL) allows an unlimited number of users to access the software that is installed on that processor for products licensed through a per-processor model. Not all products are available to be licensed in the PL model. Examples of products licensed through a per-processor model include the Windows Server operating system and SQL Server. Benefits of the Per Processer model include: Processor licenses are easier to monitor and count Processor licenses do not require SALs for internal/external users Processor licenses are economical across a variety of business scenarios where the use of the software can vary.

14 Per Core License Each Core License (CL) allows an unlimited number of users to access the server software installed on the server with a determined number of physical cores for products licensed through the per-core model. Not all products are available to be licensed in the CL mode. Examples of products licensed through a per-core model include Microsoft SQL Server and Microsoft BizTalk Server. Benefits of the Core Processer model include: Core licenses are easier to monitor and count on physical and/or virtualized environments Core licenses do not require SALs for internal/external users Core licenses are flexible across virtualization scenarios

Designate a SPLA Reseller* Request the agreement documents from your reseller Sign a Microsoft Business and Services Agreement (MBSA). Or link an existing MBSA to the SPLA Sign the SPLA * Find a SPLA reseller at

18 How to participate After successfully enrolling in the SPLA program, the following are the key steps for participation: Obtain master copies of the Microsoft products. You can either download the media through the Microsoft Volume Licensing Service Center (VLSC) or purchase media fulfillment kits from your reseller for a minimal cost Provide software services that interact with Microsoft products to your customers Ensure that your customers have agreed to and are provided the required Microsoft customer license terms and use rights Sign the License Mobility Addendum if you plan to become an Authorized Mobility Partner. License Mobility through Software Assurance Authorized Mobility Partners (AMP) can offer infrastructure as a service to Microsoft Volume Licensing customers who purchased Software Assurance with their applications and server licenses to be hosted For additional information for Partners, review the partner guide and podcasts on MPN Ask your reseller for the addendum to become a Authorized Mobility Partner (AMP) Managed PC Amendment License and install certain Microsoft software products (“Device Software Products”) on managed desktop PCs Supply these desktop PCs to end customers at the end customer site on a rental or subscription basis (e.g. rental PCs) Ask your reseller for the Managed PC addendum and start renting PCs to your End Customers (e.g. Kiosks) on a monthly basis Multi-tier Distribution Amendment Resell software services to a broader group of small and medium end customers through a Distributor / VAR channel structure, without adding any primary and significant functionality Ask your reseller for the Multi-tier Channel Amendment and leverage an extended distribution channel for your software services

Service Providers / Partners License Mobility through Software Assurance enhances your business opportunities by providing an option for Microsoft Volume Licensing customers to select an Authorized Mobility Partner to host eligible server workloads and applications. Service providers can take advantage efficiencies of a single & shared infrastructure when hosting for customers SPLA partners can become Authorized Mobility partners by signing the License Mobility Addendum Customers The Software Assurance benefit gives Microsoft customers flexibility when implementing IT strategies and investments Provides option for customers to extend current Volume Licensing investments to the Cloud Adds new type of for licensing investments of Microsoft’s customers Simplified path to the Cloud for the customer and service provider
