Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance Yarmouth Board of Selectmen Cape & Vineyard Electric Cooperative, Inc. Cape & Vineyard Electric Cooperative, Inc. Liz Argo, Argo Consulting Photovoltaic Installations Proposed for DY School District & Town of Yarmouth August 6, 2013

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance Background on Cape & Vineyard Electric Cooperative (CVEC) Cape Light Compact (CLC) desired to stabilize electric rates for all ratepayers with renewable energy projects The Cape & Vineyard Electric Cooperative, Inc. (CVEC) formed out of a strategic planning process undertaken by the Cape Light Compact (CLC) in 2007 With passage of Green Communities Act (GCA) in 2008, the opportunity for CVEC changed from wholesale energy development to Net Metered municipal energy development CVEC PV Initiative Round 1 and Round 2 work in conjunction with the GCA to provide Net Metered municipal energy development Now in CVEC Round 1 (~16MW for 7 municipalities) and CVEC Round 2 (~20MW for 10 municipalities and districts) Yarmouth not in Round 1 because Round 1 primarily capped landfills

Background on Broadway Electric  76 year old Boston-based electrical contractor  Third generation owned  DCAM certified  Licensed electricians  Most installed base of PV in Massachusetts  Previous experience installing for school districts MWRA Deer Island

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance CVEC Round 1 Total : ~ 16 Megawatts

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance 36 “A” Sites Awarded (All Barnstable Round 2 sites are “A” sites) and 10 “B” Sites Awarded (sites requiring more pre-construction labor) Project Structure: Vendor Owns Facility CVEC Buys Output from Vendor CVEC Sells “Output” to CVEC Member through PPA 36 “A” Sites Awarded (All Barnstable Round 2 sites are “A” sites) and 10 “B” Sites Awarded (sites requiring more pre-construction labor) Project Structure: Vendor Owns Facility CVEC Buys Output from Vendor CVEC Sells “Output” to CVEC Member through PPA Background on Round 2 Worked with towns to find potential sites starting in 2011 RFP for Solar PV Round 2 issued in September 2011 Responses from 11 Developers Interviews with 4 Developers Contract awarded to Broadway Electric Company in 2012 ~ 20MW for 10 municipalities and districts - Roof & Ground Project Structure: “POWER PURCHASE AGREEMENT” (PPA) Vendor Builds, Designs, Owns & Maintains PV Facility CVEC Buys PV “Output” from Vendor, paying PPA price CVEC Sells PV “Output” to Town & District at PPA price (plus administrative adder) Town and School District benefit from savings on electrical bills

Structure of the Deal District Leases or Sub-Leases Site to CVEC Benefit to District is in Monthly NStar Credits for PV electricity less the cost of the PPA price (= savings of ~.05 per kWh) CVEC Contracts with Developer to Finance, Build, Own, Operate PV CVEC Applies District’s Excess PV Power against specified Town Accounts CVEC Contracts to buy Power from Developer at Fixed-Price PPA CVEC Applies Power to School District accounts at Fixed PPA price (~.07 per kWh) NStar Allocates Net-Metering Credits (~.12 per kWh) against all accounts eliminating District Electric Bills Benefit to Town is the reduction of electrical costs on specified accounts, and School budget relief due to District’s eliminated electrical costs NStar Allocates Net-Metering Credits (~.12 per kWh) against those specified Town accounts Benefit from Monthly NStar Credits for PV electricity, less the cost of PPA, is split between Town & District (Half of ~.05 per kWh =.025 per kWh)

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance Yarmouth’s DY School District PV ESTIMATED SAVINGS for DYRSD *** Estimated : NStar upgrade costs not known and based on conservative assumptions as to projected price of electricity, Net Metering credits and School District usage SitekW (DC) Year 1 kWh (GAO) Year 1 Estimated Savings Based on GAO DY High School – Roof Mounted BTM 641 600,776 $ 31,120 DY High School – Ground Mounted 715 760,485$ 16,563 Mattacheese Middle School – Roof Mounted BTM 214205,351$ 10,637 Mattacheese Middle School – Ground Mounted 9981,062,642 $ 29,520 ME Small School – Ground Mounted 861916,626 $ 25,464 TOTAL End Year One Savings based on GAO $ 113,304 TOTAL End Year 20 Savings based on GAO $ 3,393,396

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance * Guaranteed Annual Output (80% of output), before NStar upgrade costs and based on assumed projections, including price of electricity, escalation in electrical costs and usage Yarmouth’s DY School District PV ESTIMATED SAVINGS for TOWN

Additional Benefits to School District, Yarmouth Schools & Yarmouth Two of the Yarmouth School installations are Behind-the-Meter, providing direct savings against those electrical accounts The estimated carbon equivalent offset from all 5 PV installations in Yarmouth (including DY High) is estimated to be 5,515,514 pounds The installations and information kiosks will provide support for DY science/math curricula and hands-on PV experience (underway)

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance Benefits of CVEC Projects Financing large scale renewable energy projects does not burden Town debt capacity Professional and technical expertise in the energy field (3 PV Initiatives in the works – one producing power, two about to start construction) Central contract for purchasing, O&M, and administration Electric Cooperative bylaws generally limit member liability exposure to member pledge or capitalization ($25.00) CVEC project-bundling provides economies of scale resulting in better PPA pricing and fixed PPA price contracts for the 20 years Lower electric rates for municipal accounts benefits residents

Next Steps: Site Plan approval: Stormwater Plan etc. NStar Interconnection Services Agreement Secure Net Metering Credit Assurance Completed Steps & Next Steps for Yarmouth’s DY School District PV Installations COMPLETEDNext Step PSA & PDA between CVEC & DYRSD EMS between CVEC & Broadway Electrical Secured S-REC Eligibility Support Letter from Yarmouth BoS or Authorize Town Admin to write on behalf of BoS Receive Zoning Board of Appeals Approval Receive NStar ISA Secure Net Metering Assurance !!!!
