Group Operational Structure • Woolworths Holdings Ltd or WHL Group (interchangeably referred to as the Group in this report) is a South African-based business, one of the Top 40 companies listed on the JSE, in the Diversified Retail sector, since 1997 As at the end of June 2019, the Group’s portfolio consisted of 1,576 stores, located in 14 countries WHL CEO : Ian Moir WSA CEO : Zyda Rylands Woolworths South Africa offers primarily private label products, with selected fashion, beauty, homeware and food ranges. Financial services are provided through Woolworths Financial Services, a joint venture between Woolworths Holdings Group Ltd and ABSA Group Ltd, with ABSA owning a 50% + 1 share. The board is constituted with directors from both the Woolworths Holdings Ltd and ABSA Group Ltd, with direction on credit policy, risk, and funding aspects received from ABSA and direction on customer integration from the Woolworths Holdings Ltd The Group, headed up by CEO Ian Moir, oversees three major trading brands: Woolworths South Africa (Woolworths or WSA) based in Africa and trading in South Africa and a further 11 countries in sub-Saharan Africa David Jones (DJ) based in Australia and trading in Australia and New Zealand Country Road Group (CRG) based in Australia and trading in Australia, New Zealand and South Africa 285 342 68

Shareholdings WHL Group have a diverse shareholder base with 58,571 shareholders of whom 91% are public and 9% are non-public. 27% are based offshore The largest shareholder in WHL is the Government Employees Pension Fund (14,1%) Over the past 5 yrs, WHL Group returned R12.52bn in dividends, with an average dividend yield of 3.9% * Held on behalf of their clients ** Beneficial shareholders
