2 Definitions and Interpretation
Clause 1 Definitions and Interpretation Clause 2 Project Schedule I (Details of the Project), II (Project Cost), III (FIP Bank Account Details), IV (Additional Terms and Conditions), V (Definitions and Interpretation) and Exhibit A (Project Proposal as approved by the Fund). Clause 3 Term The GIA is to remain in effect from the date of signature of both Parties until one year after the Completion Date or premature termination of the Project, and until completion, to the satisfaction of the Fund, of all administrative and financial actions necessary or expedient for orderly closure of the Agreement. 3 Grant and Capital Commitments
Clause 5 Grant and Capital Commitments Total Grant Amount which shall not be more than 70% of the Total Project Cost approved by the Fund. The Fund Implementation Partner (FIP) shall be obligated to contribute at least 30% of the Total Project Cost. The Disbursement Procedure shall govern any and all disbursements under this GIA. Requirement to open and maintain a new designated bank account which reflects the Fund and FIPs contributions towards the Total Project Costs and the Grant. Instances where disbursements under this GIA may be suspended by the Fund. FIP to be extended a reasonable opportunity to be heard in instances where the Fund is deliberating suspension or a trigger validating suspension is surfacing.

4 Auditing and Reporting
Use of funds for activities not covered under this GIA shall lead to suspension/termination of this GIA. Where misappropriation of funds is on the basis of mala fides and/or criminal intent ; the FIP shall remain responsible for recovering the misappropriated funds. The Fund reserves the right to recover the misappropriated funds through permissible legal means. Clause 7 Auditing and Reporting FIP to maintain separate accounts and records of the Project, prepare annual statements, have such statements audited by independent auditors annually, auditors opinions and management letter to be part of the foregoing, and, furnish the same to the Fund no later than 6 months after close of the fiscal year to which it pertains. Progress Reporting by FIP to the Fund.

5 Clause 8 Accounting Accurate and systematic accounting records of the Project shall be kept detailing use of the Project funds for the duration of the GIA. The said record should be subject to review by an external auditor. All audited accounts shall be made available by the FIP to the Fund within 30 days of receipt of the final audit report. FIP to maintain and make available all supporting proof of amounts incurred to the Fund or its designated representative. Non-compliance with the accounting procedure shall amount to a material breach of the GIA.

6 Clause 9 Procurement FIP to ensure that procurement is conducted in a fair and transparent manner, the object of procurement brings value for money to the FIP and procurement process is efficient and economical giving fair and equal chances to all eligible bidders/service providers. Fund to accept the FIPs procurement processes at the time of accreditation. FIP shall comply with any additional guidelines prescribed by the Fund. For all important procurement steps the Fund shall be invited as an Observer. FIP shall ensure that award of contracts, including the procedures prior to such awarding comply with the best economic practices. FIP shall take measures and ensure prevention of corruption and money laundering. FIP shall ensure records of the award and executions of contracts are kept and maintained, and, made available to the Fund unconditionally, upon request. Mandatory sub-contracting provisions.

7 Non-compliance with the terms of the GIA.

Inability and unwillingness to rectify breaches which would merit suspension of disbursements.
