maitraḥ karuṇa eva ca
nirmamo nirahańkāraḥ
sama-duḥkha-sukhaḥ kṣamī
santuṣṭaḥ satataḿ yogī
yatātmā dṛḍha-niścayaḥ
mayy arpita-mano-buddhir
yo mad-bhaktaḥ sa me priyaḥ
One who is not envious but is a kind friend to all living entities, who does not think himself a proprietor and is free from false ego, who is equal in both happiness and distress, who is tolerant, always satisfied, self-controlled, and engaged in devotional service with determination, his mind and intelligence fixed on Me — such a devotee of Mine is very dear to Me.

Considers all the distress coming onto him as Krishna’s Mercy
Nirmama – not mine – So free from false ego – equiposed in happiness and distress
Tolerant and satisfied with whatever comes by the grace of the Supreme Lord
Not swayed from his determination of devotional service by false arguments
Fully conscious that Kṛṣṇa is the eternal Lord

hṛd-vāg-vapurbhir vidadhan namas te
jīveta yo mukti-pade sa dāya-bhāk
My dear Lord, one who earnestly waits for You to bestow Your causeless mercy upon him, all the while patiently suffering the reactions of his past misdeeds and offering You respectful obeisances with his heart, words and body, is surely eligible for liberation, for it has become his rightful claim.
Śrīla Śrīdhara Svāmī explains in his commentary that just as a legitimate son has to simply remain alive to gain an inheritance from his father, one who simply remains alive in Kṛṣṇa consciousness, following the regulative principles of bhakti-yoga, automatically becomes eligible to receive the mercy of the Personality of Godhead

udāsīno gata-vyathaḥ

He for whom no one is put into difficulty and who is not disturbed by anyone, who is equipoised in happiness and distress, fear and anxiety, is very dear to Me.
My devotee who is not dependent on the ordinary course of activities, who is pure, expert, without cares, free from all pains, and not striving for some result, is very dear to Me.

No one is put into difficulty, anxiety, fearfulness or dissatisfaction by devotee
Not disturbed by others trying to put him in anxiety
Always engrossed in Krishna Consciousness, So any material circumstances cannot move him
Naturally clean inwardly and outwardly
Never endeavors for anything against the principles of Devotional Service
May construct a temple for the Lord taking all kinds of anxiety but doesn’t construct a big house for his personal relations

One who is equal to friends and enemies, who is equipoised in honor and dishonor, heat and cold, happiness and distress, fame and infamy, who is always free from contaminating association, always silent and satisfied with anything, who doesn't care for any residence, who is fixed in knowledge and who is engaged in devotional service — such a person is very dear to Me.
samaḥ śatrau ca mitre ca
tathā mānāpamānayoḥ
śītoṣṇa-sukha-duḥkheṣu
samaḥ sańga-vivarjitaḥ
tulya-nindā-stutir maunī
santuṣṭo yena kenacit
aniketaḥ sthira-matir
bhaktimān me priyo naraḥ
Silent here means that one should not speak nonsense, but the topics of Krishna
He is neither attracted to live underneath a tree or in a very palatial building
Harāv abhaktasya kuto mahad-guṇāḥ - One who is not devotee has no good qualification

Summary of 12th Chapter
The question of who is better — one who is engaged in the path of impersonal Brahman or one who is engaged in the personal service of the Supreme Personality of Godhead
Devotional Service is the only absolute path for self-realization, for the attainment of the Supreme Personality of Godhead
Supreme Lord has explained the processes of transcendental service for approaching Him
In the impersonal conception of the Absolute Truth one works without fruitive result, meditates and cultivates knowledge to understand spirit and matter. This is necessary as long as one does not have a chance to associate with a pure devotee
Through good association -> develops attachment for pure devotional service -> accepts a bona fide spiritual master -> hear, chant and observe regulative principles -> engages in transcendental service of the lord
