9 Article 1 Definitions of Terms ① “Exhibitor (Participating Organizer)" refers to the company, association, and entity submitting the application for participation in the exhibition. ② "Exhibition" refers to Exhibition of UCLG ASPAC 2016. ③ “Organizer" refers to Jeollabuk-do. Article 2 Assignment of exhibition booth ① The organizer shall assign each company’s location in the exhibition hall by engaging in discussions with exhibitors, based on the sequence of deposit payment, sequence of application for participation, desired location, level of participation, and other reasonable criteria. Exhibitors cannot raise an objection. ② Exhibitors shall provide as much cooperation as possible for the organizer’s requests except for cases of force majeure. Article 3 Contract, application, and participation fee payment process ① A party that seeks to apply to participate in the exhibition shall fill out the prescribed application form and submit the form to the organizer. ② When submitting the application form for participation, an exhibitor shall pay the participation application fee (booth participation fee). With the payment of the application fee, it shall be deemed that these regulations went into effect. The organizer may refuse to receive an application for participation if the entire exhibition hall area is occupied or if it determines that the item that is planned for exhibition is inadequate for the exhibition. Even after receiving an application for participation, the organizer may return the amount that was paid earlier, including the participation fee, within 15 days according to exhibition-related circumstances. ③ If there is a change in any information that is provided in the various submitted documents, such as the participation application form, an exhibitor shall immediately notify the organizer. The exhibitor shall be held accountable for any disadvantages that arise from failure to make a notice. Article 4 Participation fee payment conditions ① When an exhibitor submits the participation application form, the exhibitor shall pay the participation fee as an application fee. Payment shall be made to a designated account by the deadline set by the organizer. ② If an exhibitor fails to make various payments in relation to the exhibition, such as the participation fee, the organizer may put off participation or cancel the application based on the organizer’s own discretion until full payment is made. Article 5 Cancellation of participation application ① If an exhibitor cancels all or partial use of the prescribed exhibition area, the exhibitor shall immediately make a written notice on the cancellation to the organizer. ② If the organizer receives the notice of Paragraph ① before August 10, 2016, the amount that was paid by the exhibitor shall be returned in full. If the notice is received after August 19, 2016, a cancellation fee shall be paid that amounts to 50% of the participation fee. ③ The cancellation fee that is stipulated in Paragraph ② shall be paid to the organizer within 15 days from the cancellation of participation. If there is a prepaid participation fee, the abovementioned cancellation fee shall be deducted from the participation fee. Any remaining amount shall be returned. ④ No interests shall be paid for the refund. ⑤ If an exhibitor refuses all or partial use of an exhibition booth that the exhibitor applied for, the organizer may unilaterally cancel the participation application. In this case, the participation fee that was previously paid shall not be returned. 8 Participation Regulations and Contract Conditions

10 9 Article 6 Exhibition cancellation or change If the organizer cancels the exhibition, the organizer shall return to an exhibitor the full amount of the participation fee that was paid. If there is a change in the exhibition date and venue, a downscale, or a cancellation due to force majeure or other special circumstance that is not attributable to the organizer, the exhibitor cannot demand for compensation in relation to the participation application. Article 7 Exhibition hall management ① An exhibitor shall display the exhibits that are specified in the participation application form, and have a person stationed at the booth to effectively manage the exhibitor’s own booth. ② If an exhibitor displays an item that is different from the exhibits that are specified in the participation application form or an item that is not in line with the nature of the exhibition, or directly sells an item without receiving prior approval, the organizer may take such immediate measures as stoppage, dismantlement, or removal from the site. In this case, the participation fee shall not be returned, and the exhibitor may not demand for compensation in this regard. ③ If needed, the organizer may restrict exhibition hall access to a specific person. ④ An exhibitor may not transfer or resell to another party, or mutually exchange all or a part of the assigned exhibition area without written consent by the organizer. ⑤ An exhibitor may not change the original state of the exhibition hall’s floor, ceiling, pillars, walls, etc. by using paint, glue, etc. For any damage to the exhibition hall, an exhibitor shall make an adequate compensation for damage based on the organizer’s request for restoration to the original state, etc. ⑥ The organizer may selectively exclude or limit exhibits, the act of exhibition, etc., to maintain order, manage safety, prevent acts that may cause social criticism, etc. Article 8 Installation and dismantlement Installation and dismantlement shall be completed within the period stipulated by the organizer. An exhibitor shall compensate the organizer for a loss or a damage to the exhibition hall that results from a delay. Article 9 Fire prevention rules ① All equipment and materials inside the exhibition hall must be made adequately nonflammable in accordance with firefighting laws. ② The organizer may request an exhibitor to take corrective action in relation to fire prevention as per the need. Article 10 Insurance, security, and safety ① To protect the authority of exhibitors and attendees, the organizer shall have staff members at the exhibition hall during exhibition hours. However, an exhibitor shall be held accountable for theft, damage, loss, etc. of any of the exhibitor’s items. ② If an exhibitor intentionally or accidentally causes a fire, theft, damage, or any other accident and causes damage to the organizer or another person, the exhibitor shall be fully responsible for compensation. It is also the responsibility of an exhibitor to purchase an insurance policy for exhibits, etc. Article 11 Supplementary regulations ① If needed, the organizer may enact supplementary regulations that are not specified in the participation regulations. ② The supplementary regulations shall become a part of the participation regulations, and exhibitors are required to comply with the regulations. Article 12 Resolution of disputes Any dispute that arises between the organizer and exhibitor on their rights and obligations in the process of interpreting these participation regulations shall be resolved by a ruling made by the Korean Commercial Arbitration Board. A lawsuit cannot be filed with the court against the ruling. Participation Regulations and Contract Conditions
