CG refers to how the companies are suppose to be managed and it should protect the interests of both shareholders and stakeholders. The five pillars: Accountability Efficiency and Effectiveness Integrity and Fairness Responsibility Transparency

Where CG is compulsory to be obliged. Failure to comply may lead to fines or imprisonment. Apply or Explain Where CG is regulated in more flexibility. CG standards as recommendations and principles.

One of the CG components is customer. The relationship with them will be impaired.

11 How CG can be Protected? Fixing the Remuneration System:
The payment of executives is too high compared to the average employees. May affect the judgments of management in decision making (i.e. Margin Call situation). They prefer to avoid risky actions to protect their benefits (salary and packages). Should be fixed and the remuneration should be fully disclosed in the financial statements.

12 Sarah Robertson Could have prevented this by disclosing the situation to the outsiders. However, she & Eric Dale were threatened to be cut the packages and are bribed for $186,000 per hour.
