1 By Expanding our Relationship with Leading Producers, SPT can Build a Robust Reality TV Portfolio Company NameDescriptionPotential Deal Structure Embassy Row (Michael Davies) New York based global format and digital production company Develops original concepts and adapts international formats Created “Who Wants to be a Millionaire” & “Power of 10” & “The Nine” Current deal would be extended for five years $1.2MM, not recoupable against EP fees, but recoupment of term deal as a cost of production in calculating profit participation SPT would forgive ER’s current year recoupment of $600K Davies would act as producer on shows and receive an EP fee Sony would own all copyrights (with limited exceptions if Davies deficit finances) Davies would have a participation of 50% of format profits [minus 10% distribution fee] and 25% of syndication profits [minus production costs and 25% distribution fee] FeverFormer BBC executives Created “Dancing with Stars” Located in London Sony BMG has an existing relationship and a 30% ownership interest 3 year deal $600K YR1; $750K YR 2; $900K YR 3; with (split between fees for in- person and consultation) No recoupment against EP fees, but recoupment of term deal as a cost of production in calculating profit participation Fever would act as producer on shows and receive an EP fee Sony would own all copyrights with the exception of UK, where Fever can create derivatives, sell formats, and distribute directly Fever would have a participation of 50% of format profits [minus 10% distribution fee] and 25% of syndication profits [minus production costs and 25% distribution fee] Mark BurnettMajor reality TV producer Created "Survivor" & "The Apprentice" & “Are you Smarter than a 5 th Grader” SPT would fund the acquisition of 1 property for up to $1MM Burnett would act as a producer on the property (receiving an EP fee) SPT would own all copyrights Burnett would receive a 50% interest in the property, reducible by other participating producers Tom ForemanUS based producer Created “Kid Nation” & EP on “Extreme Makeover Home Edition” 2 year deal $2.25MM per year; 100% recoupable as a cost of production in calculating profit participation SPT would own a 50% interest in created shows
